By signing this Registration Page, YOU acknowledge that this CONTRACT is not required in order to obtain financing for YOUR VEHICLE and that your acceptance under this CONTRACT is voluntary, YOU acknowledge that YOU have read and understand the terms and conditions of this CONTRACT, including the exclusions and limitations contained herein, YOU acknowledge receipt of a copy of this CONTRACT, and YOU acknowledge that YOU have received at least two (2) sets of properly functioning KEY(S) and / or transponders (where applicable) for the COVERED VEHICLE on the VEHICLE PURCHASE DATE. A valet key is not considered a KEY.

CONTRACT HOLDER’S SIGNATURE

I hereby certify that I have read and understand the terms and conditions of this CONTRACT, including the exclusions and limitations contained herein. I also confirm that I have received a copy of this CONTRACT in its entirety. NOTE: This document consists of seven (7) pages.

SELLING DEALER SIGNATURE

As the authorized representative of the SELLING DEALER, I certify that the VEHICLE is eligible for coverage under this CONTRACT and the said VEHICLE meets all the requirements supplied by the ADMINISTRATOR to the SELLING DEALER.

VEHICLE SERVICE CONTRACT

When this application is properly filled out, filed, and registered with ADMINISTRATOR, it becomes a CONTRACT. This CONTRACT is between the CONTRACT HOLDER and US. This CONTRACT protects the CONTRACT HOLDER in the event of a COVERED REPAIR for the VEHICLE. In consideration of the payment of the CONTRACT charge to ADMINISTRATOR, and in reliance upon the statements and selections made by the CONTRACT HOLDER and the SELLING DEALER in this CONTRACT and subject to the following Terms, Conditions, Exclusions and Limitations of this CONTRACT, the CONTRACT HOLDER is eligible for the following coverages and benefits. YOUR purchase of this CONTRACT is not a factor or a requirement for obtaining credit. Purchase of this CONTRACT is optional.

ADMINISTRATOR: CornerStone United, Ltd., 931 Commissioners Road E., Suite 201, London, ON N5Z 3H9, 1-866-481-1327.

BUSINESS USE VEHICLE: Privately or company owned vehicles that are used by a primary driver for the purpose of, but not limited to, non-delivery route / sales work and light duty route work. Examples of business use are vehicles used for pizza and floral delivery, realtors and sales reps. Vehicles used for business use are eligible for coverage under this CONTRACT.

COMMERCIAL USE VEHICLE: Vehicles used in any other type of business use not described above under BUSINESS USE VEHICLE, including, but not limited to, fleet and multiple driver vehicles, vehicles used for livery, service and repair work, trade work, mobile businesses, route delivery, vehicles used for ride sharing and vehicles used to pull commercial trailers. Examples of COMMERCIAL USE VEHICLES are vehiclesused for taxis, shuttles, lawn care, home inspectors, mail / parcel delivery, dog washing, appliance delivery, contractors / trades. COMMERCIAL USE VEHICLE(S) are ineligible for coverage under this CONTRACT.

CONTRACT: This Vehicle Service Contract, once it is accepted by the ADMINISTRATOR.

CONTRACT PURCHASE DATE: The date this CONTRACT was purchased by YOU for the COVERED VEHICLE.

COVERAGE LEVEL: The level of coverage YOU selected as marked on the Registration Page of this CONTRACT. Only the benefits listed below under Section II. “Coverage” that correspond to the COVERAGE LEVEL YOU selected apply:

Ultimate – Includes all applicable benefits shown under Section II. “Coverage”, Paragraphs A. Tire & Wheel, B. Windshield Repair, C. Paintless Dent Repair, D. Key Repair / Replacement, E. Interior Repair, G. Trip Interruption Expenses, and H. Roadside Assistance;

Ultimate Lease – Includes all applicable benefits shown under Section II. “Coverage”, Paragraphs A. Tire & Wheel, B. Windshield Repair, C. Paintless Dent Repair, D. Key Repair / Replacement, E. Interior Repair, F. Lease-End Benefits, G. Trip Interruption Expenses, and H. Roadside Assistance.

COVERED EMERGENCY: An occurrence when the COVERED VEHICLE is unable to proceed safely under its own power due to disablement as a result of unanticipated and unavoidable circumstances. However, and as it relates to ADMINISTRATOR benefits and services under the terms and conditions of this CONTRACT, the following are not considered COVERED EMERGENCIES: Damage or disablement due to accident, collision, flood, fire, or vandalism; emergencies resulting from the use of intoxicants or narcotics or the use of the COVERED VEHICLE in the commission of an illegal act; repeated service calls for a COVERED VEHICLE in need of routine maintenance or repair; and, towing from or repair work performed at a service station, garage or repair shop.

COVERED KEY LOSS: The COVERED VEHICLE’S KEY(S) that has been lost, damaged and will not work. The absence of a COVERED VEHICLE’S KEY(S) at the time of the COVERED VEHICLE’S original delivery to YOU does not constitute a COVERED KEY LOSS.

COVERED REPAIR: A repair or service that qualifies for coverage under the terms and conditions of this CONTRACT.

COVERED VEHICLE or VEHICLE: The vehicle described on the Registration Page of this CONTRACT.

ELIGIBLE KEY(S): Means those other key(s) owned by YOU contained on YOUR key ring holding the COVERED VEHICLE’S KEY(S) at the time of a COVERED KEY LOSS (including, for example, keys to cars, trucks, boats, trailers, RVs and personal items such as jewelry lock boxes, safes, etc.).

KEY(S): Means up to two (2) properly functioning master keys and / or transponders (where applicable) provided to YOU for the COVERED VEHICLE at the time of the COVERED VEHICLE’S original delivery. Any valet key(s) and aftermarket device(s) (e.g. remote starter) for the COVERED VEHICLE are not considered to be a KEY(S).

PAINTLESS DENT REPAIR or PDR: The process used to remove small dings and minor dents (up to four inches in diameter) from the painted surfaces of YOUR COVERED VEHICLE without harming the COVERED VEHICLE’S factory finish, subject to the limitations and exclusions set forth in this CONTRACT.

POST-SALE CONTRACT: A used vehiclecontract in which the CONTRACT PURCHASE DATE is after the VEHICLE PURCHASE DATE. This CONTRACT does not cover any used VEHICLE if the date YOU purchased the CONTRACT and date YOU purchased YOUR VEHICLE are different unless the Post-Sale Contract box is check under “Mandatory Surcharges” on the Registration page of this CONTRACT.

ROAD HAZARD: Objects and road conditions such as potholes, rocks, wood debris, metal parts, nails, glass, plastic or composite scraps, impact with a curb or any item causing tire and / or wheel damage other than wear and tear and those conditions excluded under the section titled “Exclusions”.

SELLING DEALER: The Automobile Dealer identified on the Registration Page of this CONTRACT.

TERM OF COVERAGE: The time in months COVERED VEHICLE is covered under this CONTRACT as listed under TERM OF COVERAGE on the Registration Page of this CONTRACT. The CONTRACT length of the TERM OF COVERAGE in months begins on the CONTRACT PURCHASE DATE. This CONTRACT expires when the TERM OF COVERAGE months is reached.

UNSERVICEABLE: A situation in which the wheel is unable to seal with the tire, resulting in air loss and is non-repairable or the structural integrity of the wheel has been jeopardized.

VEHICLE PURCHASE DATE: The datethe COVERED VEHICLE was purchased by YOU.

WARRANTY: Any WARRANTY of the manufacturer or any other WARRANTY.

WE, US, and OUR: CornerStone United, Ltd.

YOU, YOUR, YOURS, and CONTRACT HOLDER: The person(s) listed on the Registration Page as the purchaser(s) of this CONTRACT.

II. COVERAGE

A. TIRE & WHEEL: In the event a tire(s) and / or wheel(s) on YOUR COVERED VEHICLE is / are damaged due to a ROAD HAZARD, WE will pay a repair facility, or at OUR option, reimburse YOU the following:

Tire RepairWE will pay the charges incurred for the repair of the flat tire(s).

Tire ReplacementWE will pay for a replacement tire should the tire become non-repairable due to impact breaks, snags, punctures, or other ROAD HAZARDS. WE will pay the cost of a replacement tire of like kind and quality (including mounting, balancing, and new valve stem) at the average regional retail rate. Replacements are limited to the manufacturer’s original tires or comparable or like replacements. Comparable or like replacements are determined by the ADMINISTRATOR.

Wheel RepairWE will pay the charges incurred for the repair of the wheel(s).

Wheel ReplacementWE will pay for a replacement wheel should the wheel become UNSERVICEABLE due to ROAD HAZARD damage. WE will pay the cost of a replacement wheel of like kind and quality (including mounting, balancing, and new valve stem) at the average regional retail rate. Replacements are limited to the manufacturer’s original wheels or comparable or like replacements. Comparable or like replacements are determined by the ADMINISTRATOR.

Cosmetic Damage – Coverage is provided for alloy or steel wheels where the normal condition of the wheel(s) is altered from its normal appearance. Coverage is limited to brushed or painted surfaces. WE will utilize OUR repair network and determine the best repair process for the Cosmetic Damage. Repairs can consist of cosmetic repair, straightening or remanufacturing. Wheel(s) will be repaired when possible. Any wheel(s) that cannot be repaired will be replaced ONLY IF THE WHEEL IS UNSERVICEABLE. Replacements are limited to the manufacturer’s original wheel(s) or comparable or like replacements. Comparable or like replacements are determined by the ADMINISTRATOR.

Rental Car WE will reimburse YOU for rental car expenses up to fifty dollars ($50) per day for a maximum of two (2) days if the repair(s) to YOUR tire(s) and / or wheel(s) require eight (8) hours or more of labour, if WE require an inspection of the COVERED VEHICLE or if the repair(s) require the shipment of the damaged wheel(s).

See Section VI. “How to Make a Claim” for more information on how to submit a claim.

EXCLUSIONS:

This CONTRACT does not provide TIRE & WHEEL coverage for:

  1. ANY DAMAGE THAT EXISTED AT THE TIME OF THE RETAIL SALE OF THIS CONTRACT.
  2. Repair or replacement covered by the manufacturer or other WARRANTY or CONTRACT HOLDER’S primary insurance coverage.
  3. Repairs or replacements not authorized by the ADMINISTRATOR prior to its repair or replacement.
  4. Tires that have three-thirty-seconds of an inch (3/32″) or less tread depth remaining.
  5. Repair or replacement exceeding the manufacturer’s vehicle specification, or when the manufacturer, by public announcement or recall, established its responsibilities to replacement for any manufacturer’s defect.
  6. Damage caused by negligence, abuse, misuse, collision, manufacturers’ defects, valve or rim leaks, improper installation, dry rot in either sidewall or tread, tire chains, racing or off-road use, vandalism, malicious mischief, chain damage, fire or theft.
  7. Off-road vehicles, recreational vehicles, vehicles with re-capped tires, vehicles with off-road tires and / or wheels, or vehicles that are rated more than one (1) ton.
  8. Custom wheels or tires.
  9. Failures occurring from operating on any surface other than federal, provincial, county, city or municipality paved roads or highways.
  10. COMMERCIAL USE VEHICLES are not eligible for coverage.
  11. Any COVERED VEHICLE that is used for racing or other competition, rentals, dealer loaners, limousine, taxi, police car or other emergency vehicle.
  12. Vehicles registered and / or otherwise normally operated outside Canada or the United States.
  13. Tires and / or wheels that do not meet the manufacturers’ recommendations specific to YOUR COVERED VEHICLE.
  14. Loss or damage caused by misuse occasioned from driving on tires that are over inflated, under inflated or flat.
  15. Chrome wheels and alloy wheels with chrome simulation are excluded from Cosmetic Damage coverage under this CONTRACT.
  16. Wheels that will not seal due to rust and corrosion.
  17. Any consequential loss or damage whatsoever, including loss, damage or injury to person or property resulting from the failure of any parts of YOUR COVERED VEHICLE, the replacement of which are covered under the terms and conditions of this CONTRACT.
  18. If YOU continue to drive on a run flat tire that exceeds the requirements listed in the owner’s manual specific to YOUR COVERED VEHICLE.

B. WINDSHIELD REPAIR:

WE will reimburse YOU for the repair of YOUR COVERED VEHICLE’S front windshield’s cracks, stars or chips up to one and a half (1.5) inches in diameter when it is: (1) damaged by propelled rocks and or other ROAD HAZARD debris such as wood debris, metal parts, plastic or composite scraps, or any other propelled objects while the COVERED VEHICLE is being driven; or (2) caused by stress on the windshield due to bumps in the highways, streets, or roads. Repairs to cracks, stars or chips on the front windshield surface that are determined to be repairable will be performed using the existing windshield repair process, subject to the following limitations and exclusions contained in this CONTRACT. Most front windshield minor cracks, stars or chips can be repaired, and, in most cases, a completed repair will not be noticeable. Damage caused by collision is not covered under this CONTRACT. A windshield repair technician will examine the damaged area prior to performing windshield repair to determine if the cracks, stars or chips can be repaired. If the windshield repair technician and ADMINISTRATOR determine that the windshield cannot be repaired, WE will reimburse YOU for the expenses incurred for the replacement of YOUR COVERED VEHICLE’S front windshield (except where prohibited by law) up to a maximum of five hundred dollars ($500) per occurrence. Documentation of valid expenses for a front windshield replacement for YOUR COVERED VEHICLE is required. See Section VI. “How to Make a Claim” for more information on how to submit a claim.

This CONTRACT may provide a duplication of coverage already provided by YOUR automobile physical damage insurance policy.

EXCLUSIONS:

  1. ANY DAMAGE THAT EXISTED AT THE TIME OF THE RETAIL SALE OF THIS CONTRACT.
  2. Any repair or replacement covered by WARRANTY, recall or acknowledgement of responsibility issued by the manufacturer.
  3. Repairs not authorized by the ADMINISTRATOR prior to its repair.
  4. Any additional costs for services not specifically covered by the CONTRACT.
  5. Damage to any glass other than the COVERED VEHICLE’S front windshield.
  6. Any amounts in excess of five hundred dollars ($500) incurred in replacing YOUR COVERED VEHICLE’S front windshield which is deemed to be non-repairable by the examining technician.
  7. Replacement of any parts other than the windshield.
  8. Damage due to abnormal wear, acts of God, damage caused by or related to animals (including pets), collision and / or accident, fire, flood, hail, modification of the COVERED VEHICLE, mischief, misuse, natural disaster or acts of nature, neglect, overloading, riot / civil commotions, vandalism, or water intrusion.
  9. COMMERCIAL USE VEHICLES are not eligible for coverage.
  10. Damage to YOUR COVERED VEHICLE or other property resulting from the use of intoxicants or narcotics, or the use of YOUR COVERED VEHICLE in the commission of an illegal act.
  11. Any incidental or consequential damages of any kind, including but not limited to damages for loss of use of the COVERED VEHICLE, damages to property, loss of time, loss of profits, loss of income, or inconvenience.

C. PAINTLESS DENT REPAIR:

In the event YOU incur minor dents and / or dings in YOUR COVERED VEHICLE’S painted metal panels, WE will reimburse YOU for the repair of minor dents and / or dings up to four (4) inches in length that can be repaired with the PAINTLESS DENT REPAIR (PDR) process. Not all dents and dings can be repaired using the PDR process. Larger dents, dents with creases, dents and dings that are not accessible with PDR tools, and those requiring repainting are not covered. In the event that YOUR COVERED VEHICLE’S dents / dings are caused by hail damage, WE will reimburse you (except where prohibited by law), to a maximum of two hundred and fifty dollars ($250) per occurrence, incurred for the repair of YOUR COVERED VEHICLE’S hail damage. Documentation of valid expenses for a repair of hail damage on for YOUR COVERED VEHICLE is required. See Section VI. “How to Make a Claim” for more information on how to submit a claim.

EXCLUSIONS:

This CONTRACT does not provide PAINTLESS DENT REPAIR coverage for:

  1. ANY DAMAGE THAT EXISTED AT THE TIME OF THE RETAIL SALE OF THIS CONTRACT.
  2. Any repair or replacement covered by WARRANTY, recall or acknowledgement of responsibility issued by the manufacturer.
  3. Repairs not authorized by the ADMINISTRATOR prior to its repair.
  4. Any additional costs for services not specifically covered by the CONTRACT.
  5. Dents that are too large in size (exceeds four (4) inches in diameter) shall be deemed non-repairable using the PDR process.
  6. Dents or dings on horizontal panels, creases of the COVERED VEHICLE body, dents in body lines or curves, or dents on the edge of a body panel.
  7. Dents, dings or creases that will damage the body or paint finish if the PDR process is utilized.
  8. Dents or dings that are not capable of being completely repaired using the PDR process.
  9. Dents or dings that require the use of putty, sanding, bonding, primer, or paint.
  10. Dents or dings where access is restricted due to manufacturer installed bracing, double metal panels, aftermarket installations or other access limitations.
  11. Deep dents that stretch the metal too far and do not allow the metal to return to its original form.
  12. COMMERCIAL USE VEHICLES are not eligible for coverage.
  13. Chrome or unpainted portions of the COVERED VEHICLE, glass, plastic, or other non-metal exterior sections of the COVERED VEHICLE body or attached to the COVERED VEHICLE body.
  14. Any damage to the interior of the COVERED VEHICLE or the undercarriage of the COVERED VEHICLE.
  15. Environmental damage including, but not limited to, rust, corrosion, and damage from chemicals.
  16. Replacement of any parts.
  17. Damage due to abnormal wear, acts of God, aesthetic damage (including but not limited to scratches, paint deterioration, chips, cracks or other damages to the paint on the surface of the COVERED VEHICLE, nicks, normal wear and tear), damage caused by or related to animals (including pets), collision and / or accident, fire, flood, modification of the COVERED VEHICLE, mischief, misuse, natural disaster or acts of nature, neglect, overloading, riot / civil commotions, vandalism, or water intrusion.
  18. Damage to YOUR COVERED VEHICLE or other property resulting from the use of intoxicants or narcotics, or the use of YOUR COVERED VEHICLE in the commission of an illegal act.
  19. Any incidental or consequential damages of any kind, including but not limited to damages for loss of use of the COVERED VEHICLE, damages to property, loss of time, loss of profits, loss of income, or inconvenience.

D. KEY REPAIR / REPLACEMENT:

  1. In the event YOUR KEY(S) is lost or damaged and will not work, Xtended Auto Roadside Assistance will reimburse you up to one thousand dollars ($1,000) per incident for the repair or, if not repairable, the replacement of YOUR KEY(S) and / or transponder. Replacements will be of original equipment manufacturer (OEM) or like kind and quality keys and / or transponders. Coverage will be provided for the reasonable repair or replacement of key inserts, metal key charge, key housing, remote housing / transmitter, Bluetooth replacement, and any related vehicle programming expenses. Coverage is limited to a total of one (1) claim during any twelve (12) month period during the TERM OF COVERAGE. Coverage will not be provided to increase the number of KEY(S) and / or transponders for the COVERED VEHICLE. You will not be required to pay any sum, in addition to the CONTRACT PURCHASE PRICE, for any covered services up to the benefit limits shown. YOU are responsible for any non-covered expenses.

Additional Lost Key Benefits: In the event additional keys were lost in conjunction with a COVERED KEY LOSS, Xtended Auto Roadside Assistance will reimburse YOU up to one hundred dollars ($100) per occurrence to replace ELIGIBLE KEY(S). Valid receipts must be received by Xtended Auto Roadside Assistance within ninety (90) days of the initial COVERED KEY LOSS.

EXCLUSIONS:

This CONTRACT does not provide KEY REPAIR / REPLACEMENT coverage for:

  1. Any repair or replacement performed without prior authorization by Xtended Auto Roadside Assistance.
  2. Any repair or replacement covered by WARRANTY, recall or acknowledgement of responsibility issued by the manufacturer(s) of the KEY(S) or ELIGIBLE KEY(S) to be replaced.
  3. Repair or damage to the residence, COVERED VEHICLE or other property.
  4. Coverage shall not be provided in the event of emergencies resulting from the use of intoxicants or narcotics, or the use of the COVERED VEHICLE in the commission of an illegal act.
  5. Any damages or loss, whatsoever, whether consequential, direct or otherwise, resulting from the failure or loss of a programmed replacement KEY(S).
  6. Any damage to or non-functioning of KEY(S) or ELIGIBLE KEY(S) caused by wear and tear (e.g., battery failure / loss of charge, cosmetic damage).
  7. Any replacement of KEY(S) WHEN AT LEAST TWO (2) SETS OF KEY(S) FOR THE COVERED VEHICLE WERE NOT DELIVERED AT THE TIME OF THE VEHICLE’S PURCHASE.
  8. Any valet keys or aftermarket devices (such as remote starter).
  9. The loss or damage to any keys, remotes, transponders or smart cards other than those defined as ELIGIBLE KEY(S). This includes, but is not limited to: alarm, wheel, after-market remote / transponder, lo-jack, club, garage door key / remote, home security remote, remotes / keys for gated or fenced-in communities or buildings, and remotes / transponders / smart cards for vehicles other than the COVERED VEHICLE.
  10. Any and all tolls and fines.
  11. COMMERCIAL USE VEHICLES are not eligible for coverage.
  12. Only the REASONABLE REPAIR OR REPLACEMENT COST for KEY(S) or ELIGIBLE KEY(S) is covered under the terms, conditions and limitations set forth in this CONTRACT.
  13. If the COVERED VEHICLE is leased, the following will not be covered: (1) replacement of any KEY(S) that are not accounted for during the final lease inspection by the SELLING DEALER; (2) any charge assessed by the SELLING DEALER for missing KEY(S) on the end-of-lease inspection report; (3) any claim filed after the lease termination date; and (4) any repair or replacement covered by WARRANTY, recall or acknowledgement of responsibility issued by the manufacturer of the KEY to be replaced including “wear and tear” programs provided for leased vehicles.
  14. Xtended Auto Roadside Assistance does not in any way warrant or guarantee, whether expressed or implied, any replacement KEY or ELIGIBLE KEY obtained by YOU.

KEY REPAIR / REPLACEMENT CLAIMS PROCEDURE (1-866-538-5257):

To obtain COVERED VEHICLE KEY replacement benefits under this CONTRACT, YOU must comply with the following conditions:

  1. All requests for KEY replacement must be reported to Xtended Auto Roadside Assistance before any replacement is begun. Call Xtended Auto Roadside Assistance toll-free (1-866-538-5257) for instructions and to obtain authorization and a claim tracking number before work on a replacement KEY commences. NOTE: The issuance of a claim tracking number does not imply nor shall be construed or interpreted as approval of a claim, but only that YOU have fulfilled YOUR responsibility in reporting such claim.
  2. If YOU are within an 80-kilometre radius of the SELLING DEALER, YOU must return there to have a replacement KEY cut and programmed. If YOU are outside the 80-kilometre radius, YOU may go to an appropriate dealer.
  3. All non-working VEHICLE KEY(S) must be made available to the dealer for inspection and reprogramming.
  4. The dealer must fax a signed copy of the original repair order to the Xtended Auto Roadside Assistance fax number received upon authorization of replacement for final payment.
  5. The dealer will be paid as soon as an appropriate signed repair order is received by Xtended Auto Roadside Assistance from the dealer. YOU are not responsible for any out-of-pocket expenses other than costs in excess of one thousand dollars ($1,000) per occurrence.
  6. All replacement KEYS and any programming are only available by the SELLING DEALER or an appropriate franchise dealer. Xtended Auto Roadside Assistance does not cut, order, or program any lost or damaged KEYS.
  7. WARNING: Any person who knowingly, and with intent to injure, defraud or deceive Xtended Auto Roadside Assistance, files a statement of a claim or application containing false, incomplete or misleading information will be prosecuted to the fullest extent of the law.

ADDITIONAL KEY REPLACEMENT CLAIMS PROCEDURE (1-866-538-5257):

8. Xtended Auto Roadside Assistance will reimburse YOU for replacement of YOUR ELIGIBLE KEY(S), up to one hundred dollars ($100) per occurrence, upon receipt of paid invoice(s) for the replacement(s). Call Xtended Auto Roadside Assistance’s Claims Department toll-free (1-866-538-5257) for assistance.

E. INTERIOR REPAIR:

In the event YOU incur minor interior rips, burns, tears (maximum of three (3) inches in length), cracks, scratches or punctures (less than one and one quarter (1 ¼) inches in diameter), to interior surfaces of fabric or leather seats, dashboard materials, armrests, door panels, headliners and carpeting (floor mats are excluded) of YOUR COVERED VEHICLE due to normal wear and tear, WE will repair or reimburse YOU for the costs of these repairs up to a maximum of two hundred and fifty dollars ($250) per repair visit (except where prohibited by law). See Section VI. “How to Make a Claim” for more information on how to submit a claim.

EXCLUSIONS:

This CONTRACT does not provide INTERIOR REPAIR coverage for:

  1. ANY DAMAGE THAT EXISTED AT THE TIME OF THE RETAIL SALE OF THIS CONTRACT.
  2. Any repair or replacement covered by WARRANTY, recall or acknowledgement of responsibility issued by the manufacturer.
  3. Repairs not authorized by the ADMINISTRATOR prior to its repair.
  4. Any additional costs for services not specifically covered by the CONTRACT.
  5. Any finish, fabric, leather or vinyl that is not damaged.
  6. Tears of fabric or leather seats exceeding three (3) inches in length.
  7. Punctures of fabric or leather seats exceeding one and one quarter (1 ¼) inches in diameter.
  8. Damage caused by misuse or abuse of YOUR COVERED VEHICLE.
  9. Damage caused by solvents or chemicals coming in contact with YOUR COVERED VEHICLE’S interior surfaces.
  10. Damage caused by deterioration or fading of the fabric or leather seats or carpet of YOUR COVERED VEHICLE.
  11. Any amounts necessary to complete interior repairs in excess of two hundred and fifty dollars ($250) per repair visit.
  12. Any repair identified from a previous repair visit that was left unrepaired.
  13. Replacement of seats or carpets in the event they cannot be cleaned and / or repaired.
  14. COMMERCIAL USE VEHICLES are not eligible for coverage.
  15. Replacement of any parts.
  16. Damage due to abnormal wear, acts of God, collision and / or accident, fire, flood, modification of the COVERED VEHICLE, mischief, misuse, natural disaster or acts of nature, neglect, riot / civil commotions, vandalism, or water intrusion.
  17. Damage to YOUR COVERED VEHICLE or other property resulting from the use of intoxicants or narcotics, or the use of YOUR COVERED VEHICLE in the commission of an illegal act.
  18. Any incidental or consequential damages of any kind, including but not limited to damages for loss of use of the COVERED VEHICLE, damages to property, loss of time, loss of profits, loss of income, or inconvenience.

F. LEASE-END BENEFITS:

In the event YOUR COVERED VEHICLE is financed through a lease agreement and you incur certain final lease-end expenses due to normal wear and tear, WE will reimburse you up to one thousand five hundred dollars ($1,500) toward these expenses (except where prohibited by law). Expenses covered under this benefit are limited to exterior dings, dents, repairable scratches, chipped / cracked glass, damage to interior fabrics, carpets (floor mats are excluded), seats, dashboard and console plastics, leather, cloth, vinyl including but not limited to rips, burns, tears, cracks, scratches or punctures, stains, cosmetic wheel benefits to remove scuffs, scratches, curb rash, nicks, alloy wheel painting or respraying, or bent wheels. Lease-End Benefits are available from ninety (90) days prior to until ninety (90) days after YOUR lease termination date. All claims under this benefit must be submitted within this time period. Copies of YOUR final lease turn-in settlement with: (1) all applicable charges from your lessor; (2) copies of receipts showing payment of these charges by YOU to lessor; and (3) a copy of the final lease termination documents showing the date the COVERED VEHICLE was returned to lessor are required for reimbursement. WE reserve the right to request further documentation as needed to verify all expenses incurred. RECOMMENDATIONWE recommend that YOU have a lease turn-in inspection performed at your SELLING DEALER prior to YOUR lease termination. Repairs in advance of termination may greatly reduce YOUR lease-end expenses. See Section VI. “How to Make a Claim” for more information on how to submit a claim.

EXCLUSIONS:

This CONTRACT does not provide LEASE-END BENEFITS coverage for:

  1. ANY DAMAGE THAT EXISTED AT THE TIME OF THE RETAIL SALE OF THIS CONTRACT.
  2. Any repair or replacement covered by WARRANTY, recall or acknowledgement of responsibility issued by the manufacturer.
  3. Any finish, fabric, leather or vinyl that is not damaged.
  4. Damage caused by misuse or abuse of YOUR COVERED VEHICLE.
  5. Excess mileage fees, tire replacement fees, lease disposal / disposition fees, missing equipment on YOUR COVERED VEHICLE, missed payments or unpaid taxes.
  6. Any inspection fees or transportation fees charged under YOUR lease agreement.
  7. Any repairs that would be covered under YOUR COVERED VEHICLE’S primary insurance policy.
  8. Any lease-end expenses incurred in excess of one thousand five hundred dollars ($1,500).
  9. Any lease-end expenses incurred more than ninety (90) days prior to or more than ninety (90) days after YOUR lease termination date.
  10. Any additional costs for services not specifically covered by the CONTRACT.
  11. Chrome wheels and alloy wheels with chrome simulation are excluded from coverage under this CONTRACT.
  12. COMMERCIAL USE VEHICLES are not eligible for coverage.
  13. Damage due to abnormal wear, acts of God, collision and / or accident, fire, flood, modification of the COVERED VEHICLE, mischief, misuse, natural disaster or acts of nature, neglect, riot / civil commotions, vandalism, or water intrusion.
  14. Any incidental or consequential damages of any kind, including but not limited to damages for loss of use of the COVERED VEHICLE, damages to property, loss of time, loss of profits, loss of income, or inconvenience.
  15. Damage to YOUR COVERED VEHICLE or other property resulting from the use of intoxicants or narcotics, or the use of YOUR COVERED VEHICLE in the commission of an illegal act.

G. TRIP INTERRUPTION EXPENSES:

WE will reimburse YOU up to one hundred fifty dollars ($150) per day for a maximum of three (3) days for expenses for meals (restaurants only) and lodging (hotel / motel only) (except where prohibited by law) per occurrence incurred if:

  1. YOU cannot utilize COVERED VEHICLE due to an unexpected mechanical breakdown or tire / wheel repair;
  2. YOU are more than one hundred (100) kilometres from home; and
  3. Meals and lodging are required because the unexpected mechanical breakdown or tire / wheel repair causes a delay en route. The date of the unexpected mechanical breakdown or tire / wheel repair shall be considered the first day of the three (3) day maximum period. The expense must be incurred between the time of the unexpected mechanical breakdown or tire / wheel repair and the time when repairs are completed or by the end of the third calendar day subsequent to the unexpected mechanical breakdown or tire / wheel repair if the repairs are not completed, whichever occurs first.

If you incur Trip Interruption Expenses as a result of an unexpected mechanical breakdown YOU must submit proof of the unexpected mechanical breakdown and location of the repair facility to the ADMINISTRATOR.

See Section VI. “How to Make a Claim” for more information on how to submit a claim.

H ROADSIDE ASSISTANCE:

  1. Emergency Roadside Assistance is available twenty-four (24) hours a day, every day of the year throughout Canada and the United States. Roadside Assistance coverage is intended for emergencies only. YOUR coverage begins on the CONTRACT PURCHASE DATE and terminates on the expiration or cancellation of YOUR CONTRACT. YOU will only have to pay for any non-covered roadside assistance expenses or covered costs in excess of YOUR one hundred dollar ($100) per occurrence maximum, as outlined below. You will not be required to pay any sum, in addition to the CONTRACT PURCHASE PRICE, for any covered services up to the benefit limits shown. YOU are responsible for any non-covered expenses. Service must be a covered benefit under the terms and conditions of this CONTRACT and is available only for the specific COVERED VEHICLE registered as part of this CONTRACT. Emergency Roadside Assistance Benefits are not available on COMMERCIAL USE VEHICLES.

All roadside assistance benefits are administered by Xtended Auto Roadside Assistance, 1-866-538-5257.

In the event that service is not obtainable through Xtended Auto Roadside Assistance, YOU will receive an authorization number to receive a refund of payments made according to YOUR program benefit and coverage limits for services received independently. YOU must first contact Xtended Auto Roadside Assistance for authorization to obtain independent services.

All of the services provided are described herein and are applicable throughout Canada and the United States.

Call the toll-free number 1-866-538-5257 and a service vehicle will be dispatched to YOUR assistance. Important: Please be with YOUR COVERED VEHICLE when theservice provider arrives, as they cannot service an unattended vehicle. NOTE: ASSISTANCE OBTAINED THROUGH ANY SOURCE OTHER THAN XTENDED AUTO ROADSIDE ASSISTANCE IS NOT COVERED AND IS NOT REIMBURSABLE.

24-Hour Toll-Free Emergency Roadside Assistance will be provided to the COVERED VEHICLE for the following COVERED EMERGENCIES up to the benefit limit of one hundred dollars ($100) per occurrence:

Towing AssistanceWhen towing is necessary, the COVERED VEHICLE will be towed to the nearest licensed service facility or to any location requested by the covered customer up to the one hundred dollar ($100) per occurrence limit.

Flat Tire AssistanceService consists of the removal of the flat tire and its replacement with the spare tire located within the COVERED VEHICLE. Towing assistance will be provided if needed.

Fuel, Oil, Fluid and Water Delivery ServiceAn emergency supply of fuel, oil, fluid and water will be delivered if the COVERED VEHICLE is in immediate need. YOU must pay for the fuel or other fluid when it is delivered;

Lock-out AssistanceIf YOUR KEYS are locked inside the COVERED VEHICLE, assistance will be provided to supply assistance in gaining entry into the COVERED VEHICLE.

Battery Assistance – If battery failure occurs, a jump start will be provided to start YOUR COVERED VEHICLE.

For any amount exceeding the program’s one hundred-dollar ($100) limit, it will be YOUR responsibility to pay the service provider directly for the additional charges. Coverage is extended to any driver of the COVERED VEHICLE.

EXCLUSIONS:

This CONTRACT does notprovide ROADSIDE ASSISTANCE coverage for:

  1. ANY DAMAGE THAT EXISTED AT THE TIME OF THE RETAIL SALE OF THIS CONTRACT.
  2. Any service covered by WARRANTY, recall or acknowledgement of responsibility issued by the manufacturer.
  3. Any claims made on a CONTRACT for which payment for the CONTRACT has not been received, or for services not performed, not authorized, or not as described at the time of authorization.
  4. Any costs when any material information provided to Xtended Auto Roadside Assistance cannot be verified as accurate or is found to be deceptive.
  5. Emergencies resulting from the use of intoxicants or narcotics, or the use of the COVERED VEHICLE in the commission of an illegal act.
  6. Cost of parts, replacement keys, fluids, lubricants, or cost of fuel, material, additional labour relating to towing, or the cost of installation of products.
  7. Non-emergency towing or other non-emergency service.
  8. Non-emergency mounting or removing of snow tires or chains.
  9. Shoveling snow from around a vehicle.
  10. Tire Repair.
  11. Extrication or Winching.
  12. Motorcycles, trucks over one-and-a-half (1 ½) ton capacity, antique vehicles (meaning vehicles over twenty (20) years old or out of manufacture for ten (10) years or more), taxicabs, limousines, or other commercial vehicles.
  13. Recreational Vehicles (RVs), camping trailers, travel trailers, or any vehicles in tow.
  14. Any and all tolls or fines.
  15. Any fees such as shipping and surcharges, shop supplies, unless specifically authorized in this CONTRACT.
  16. Damage or disablement due to outside sources such as accident, theft, malicious mischief, vandalism, war, riots, acts of terrorism, civil commotion, explosion and / or acts of nature including but not limited to fire, water, tornadoes or earthquakes.
  17. Towing from or repair work performed at a service station, garage or repair shop.
  18. Towing by other than a licensed towing company, service station, or garage; vehicle storage charges; a second tow.
  19. Service on a COVERED VEHICLE that is not in a safe condition to be towed or services that may result in damage to the COVERED VEHICLE if towed or serviced.
  20. Towing or service on roads not regularly maintained, such as sand beaches, open fields, forests, and areas designated as not passable due to construction, etc.
  21. No towing or other services will be performed when the COVERED VEHICLE is in an unsafe condition or location.
  22. Towing at the direction of a law enforcement officer relating to traffic obstruction, impoundment, abandonment, illegal parking, or other violations of law.
  23. Repeated service calls for a COVERED VEHICLE in need of routine maintenance or repair.
  24. Services received independently from Xtended Auto Roadside Assistance without prior authorization from Xtended Auto Roadside Assistance.
  25. Only one disablement for the same service type during any seven-day period will be accepted.

THIS IS NOT A ROADSIDE ASSISTANCE REIMBURSEMENT SERVICE: The Emergency Roadside Assistance benefit is not intended to provide reimbursement of service secured independently of this program. Fees for services incurred independently are NOT covered without prior authorization from Xtended Auto Roadside Assistance. In the event that Xtended Auto Roadside Assistance is unable to provide the roadside assistance service requested, YOU will be authorized by Xtended Auto Roadside Assistance to obtain service from another service provider. In this event, and upon YOUR written request, YOU will be reimbursed for any payments made for authorized covered services up to the specified benefit limits. Otherwise, service secured through any source other than Xtended Auto Roadside Assistance will not be reimbursed.

MANDATORY SURCHARGES:

POST-SALE CONTRACT: Coverage for used VEHICLES is only available at the time of delivery, unless the Post-Sale Contract surcharge is selected under the “Mandatory Surcharges” section of the Registration page of this CONTRACT. For POST-SALE CONTRACTS, claims will not be considered during the first thirty (30) days from the CONTRACT PURCHASE DATE.

IV.    GENERAL PROVISIONS

TERRITORIAL LIMITS: This CONTRACT will cover the VEHICLE only when it is in Canada or the United States.

CONSEQUENTIAL DAMAGES: ADMINISTRATOR is not responsible for any oral misrepresentation, or incidental or consequential damages other than the coverage and exclusions contained herein. This CONTRACT applies to the parts and labour for the identified items only, and does not provide for bodily injury, property damages, liability, or any other type of liability coverage.

CHANGES: No changes may be made to this CONTRACT unless approved by US in writing. None of OUR representatives have the authority to change or waive any provisions to this CONTRACT.

REPRESENTATIONS: By acceptance of this CONTRACT, YOU agree that statements in this CONTRACT made by YOU are YOUR representations and agreements and that this CONTRACT is issued in reliance upon the truths of those statements.

CONFORMITY TO STATUTE: This CONTRACT will be governed and construed in accordance with the laws of the Province where this CONTRACT is written and any dispute or litigation by either party arising out of the terms of the CONTRACT will be commenced in a court of competent jurisdiction in said province.

ENTIRE AGREEMENT: This CONTRACT is the entire understanding between YOU and US and there are no warranties, representations or agreements that are not expressly set forth herein.

DELAYS: This CONTRACT does not guarantee days or time of service. WE are not liable for any damages whatsoever arising out of delays, either before or after a day or time of service is agreed upon.

TRANSFER: To transfer the CONTRACT, the CONTRACT HOLDER will forward their copy of the CONTRACT and a copy of the bill of sale or receipt, the new owner’s information and the transfer fee of fifty dollars ($50) to the ADMINISTRATOR within thirty (30) days of transfer date. Proof of maintenance may be required. Transfer of the CONTRACT from the CONTRACT HOLDER to any of the following (or like kind of the following) is not permitted:

  1. Consignment sales;
  2. Dealers; or
  3. Rental agencies.

OTHER COVERAGE: This CONTRACT provides coverage only in excess of other applicable and valid service contracts (including warranties and policies of insurance) which the CONTRACT HOLDER has, or upon which the CONTRACT HOLDER can recover from third parties.

V.     CANCELLATION

All cancellation refund cheques will be sent to the SELLING DEALER. The Lienholder, if any, may be named on the cancellation refund cheque as their interest may appear. YOU can collect YOUR cancellation refund directly from the SELLING DEALER.

A.     CANCELLATION BY THE CONTRACT HOLDER: This CONTRACT may be cancelled by the CONTRACT HOLDER within thirty (30) days of the CONTRACT PURCHASE DATE. YOU may cancel this CONTRACT by returning to the SELLING DEALER and completing a Cancellation Request Form. If this CONTRACT is cancelled within thirty (30) days of the CONTRACT PURCHASE DATE, the ADMINISTRATOR will refund and send to the SELLING DEALER the cost paid for this CONTRACT, less a cancellation fee of fifty dollars ($50), plus applicable taxes. If at any point in the term of the CONTRACT the UNIT is declared a total loss, this CONTRACT may be cancelled by the CONTRACT HOLDER (valid documentation required). In the event of a total loss, the ADMINISTRATOR will issue a prorated refund of the cost paid for this CONTRACT based on elapsed days of coverage from the CONTRACT PURCHASE DATE, less a cancellation fee of fifty dollars ($50), plus applicable taxes.

B.     CANCELLATION BY THE ADMINISTRATOR: The ADMINISTRATOR may cancel this CONTRACT at any time for non-payment, for material misrepresentation or fraud in obtaining this CONTRACT, if YOU have violated any of the terms or conditions set forth in this CONTRACT, or for misrepresentation in the submission of a claim. Beginning thirty (30) days following the purchase date of the UNIT, if for any reason, the original manufacturer’s warranty is modified, voided or does not transfer to a new owner, this CONTRACT becomes void. If YOUR CONTRACT is cancelled by US for any of the listed reasons, WE will issue a prorated refund of the cost paid for this CONTRACT based on elapsed days of coverage from the CONTRACT PURCHASE DATE, less a cancellation fee of fifty dollars ($50), plus applicable taxes.

C.     CANCELLATION BY THE LIENHOLDER: If this CONTRACT has been financed, the Lienholder may cancel this CONTRACT at any time during the term of this CONTRACT for non-payment or if the UNIT is declared a total loss or is repossessed (valid documentation required). If this CONTRACT is cancelled by the Lienholder, the ADMINISTRATOR will issue a prorated refund of the cost paid for this CONTRACT based on elapsed days of coverage from the CONTRACT PURCHASE DATE, less a cancellation fee of fifty dollars ($50), plus applicable taxes.

VI. HOW TO MAKE A CLAIM

A. YOU should use all reasonable means and precautions to protect YOUR VEHICLE from further damage. This CONTRACT will not cover damage caused by not securing a timely repair of the failed component;

B. For information regarding Tire & Wheel, Windshield Repair, Paintless Dent Repair (PDR), Interior Repair or Trip Interruption contact YOUR SELLING DEALER or, if not available, the ADMINISTRATOR at 1-866-481-1327 Monday through Friday, 8:00 AM – 8:00 PM, Eastern Time. For information regarding Key Repair / Replacement see Section D. “Key Repair / Replacement Claims Procedure,” for Roadside Assistance see Section H. “Roadside Assistance.” If the repairis not covered by this CONTRACT, the costs incurred for disassembly and / or diagnostic work are YOUR responsibility and expense;

C. Provide the SELLING DEALER or repair facility with a copy of YOUR CONTRACT;

D. Prior to starting repairs for Tire & Wheel, Windshield Repair, Paintless Dent Repair or Interior Repair, YOU or the repair facility must call the ADMINISTRATOR at 1-866-481-1327 to verify coverage and obtain a Claim Authorization Number for claims. The amount authorized is the maximum that will be paid. Any additional amounts need prior approval;

E. The repair facility and YOU must provide complete cooperation in the investigation of any claim filed under this CONTRACT;

F. In some cases, YOU may be required to authorize the repair facility to inspect or disassemble YOUR VEHICLE or KEY(S) to determine the cause and cost of the repair. YOU will be responsible for these charges if the repair is not covered by this CONTRACT. The ADMINISTRATOR reserves the right to require an inspection of YOUR VEHICLE prior to any repair being performed. The ADMINISTRATOR reserves the right to move YOUR covered VEHICLE to another repair facility;

G. After the ADMINISTRATOR has been contacted, review with the repair facility what will be covered by this CONTRACT;

H. When YOU pick up YOUR VEHICLE or KEY(S), review the repair order with the service manager;

I. Pay the DEDUCTIBLE and any other non-covered expenses, if applicable;

J. YOU or the repair facility must provide the ADMINISTRATOR with the repair order within ninety (90) days of the completion of the authorized repairs. Failure to submit the repair order within ninety (90) days may result in complete denial and non-payment of the claim;

K. The ADMINISTRATOR will reimburse the repair facility or YOU after receipt of the repair order, in accordance with the provisions of the CONTRACT, for authorized REPAIR COSTS performed on YOUR VEHICLE, less any applicable deductible;

L. If YOU need to make a claim when the ADMINISTRATOR’S office is closed, YOU may follow these claims procedures without prior authorization. However, YOU or the licensed repair facility MUST call the ADMINISTRATOR during the next business day. Failure to call in and report the claim on the next business day may result in non-payment. Unapproved mail-in claims may be denied. Reimbursement for emergency repairs performed outside of normal business hours can be obtained by YOU only if YOU follow the above procedures on the first business day after such emergency repairs are performed, unless YOU show that it was not reasonably possible to give notice or file the proof of loss within the prescribed time and that the notice was filed as soon as reasonably possible;

M. If YOU are submitting a claim for Lease-End Benefits reimbursement, mail: (1) a copy of this CONTRACT; (2) copies of YOUR final lease turn-in settlement with all applicable charges from YOUR lessor; (3) copies of receipts showing payment of these charges by YOU to lessor, and; (4)a copy of the final lease termination documents showing the date the COVERED VEHICLE was returned to lessor to:

VII.   OUR RIGHT TO RECOVER PAYMENT

If WE make any payments under this CONTRACT, YOU agree that WE hold all rights of recovery for those payments against anyone, due to, but not limited to a safety recall campaign, any repair required by any court, regulatory agency, decree or settlement. YOU will do nothing to harm those rights. If YOU have a right to recover against another party, YOUR rights become OUR rights. YOU will do whatever is necessary to enable US to enforce these rights. If WE pay for repairs under this CONTRACT and YOU are also repaid for the same repairs by someone else, YOUR payment will become OUR property up to the amount that WE paid for the repairs.

When this application is properly filled out, filed, and registered with ADMINISTRATOR, it becomes a CONTRACT. This CONTRACT is between the CONTRACT HOLDER and US. This CONTRACT protects the CONTRACT HOLDER in the event of a COVERED REPAIR for the VEHICLE. In consideration of the payment of the CONTRACT charge to ADMINISTRATOR, and in reliance upon the statements and selections made by the CONTRACT HOLDER and the SELLING DEALER in this CONTRACT and subject to the following Terms, Conditions, Exclusions and Limitations of this CONTRACT, the CONTRACT HOLDER is eligible for the following coverages and benefits. YOUR purchase of this CONTRACT is not a factor or a requirement for obtaining credit. Purchase of this CONTRACT is optional.

I.        DEFINITIONS

ADMINISTRATOR: CornerStone United, Ltd., 931 Commissioners Road E., Suite 201, London, ON N5Z 3H9, 1-866-481-1327.

BUSINESS USE VEHICLE: Privately or company owned vehicles that are used by a primary driver for the purpose of, but not limited to, non-delivery route / sales work and light duty route work. Examples of business use are vehicles used for pizza and floral delivery, realtors and sales reps. Vehicles used for business use are eligible for coverage under this CONTRACT.

COMMERCIAL USE VEHICLE: Vehicles used in any other type of business use not described above under BUSINESS USE VEHICLE, including, but not limited to, fleet and multiple driver vehicles, vehicles used for livery, service and repair work, trade work, mobile businesses, route delivery, vehicles used for ride sharing and vehicles used to pull commercial trailers. Examples of COMMERCIAL USE VEHICLES are vehiclesused for taxis, shuttles, lawn care, home inspectors, mail / parcel delivery, dog washing, appliance delivery, contractors / trades. COMMERCIAL USE VEHICLES are ineligible for coverage under this CONTRACT.

CONTRACT: This Vehicle Service Contract, once it is accepted by the ADMINISTRATOR.

CONTRACT PURCHASE DATE: The date this CONTRACT was purchased by YOU for the COVERED VEHICLE.

COVERAGE OPTIONS: The optional coverage or coverages YOU selected as marked on the Registration Page of this CONTRACT. Only the benefits listed below under Section II. “Coverage Options” that correspond to the COVERAGE OPTIONS YOU selected apply:

COVERED EMERGENCY: An occurrence when the COVERED VEHICLE is unable to proceed safely under its own power due to disablement as a result of unanticipated and unavoidable circumstances. However, and as it relates to ADMINISTRATOR benefits and services under the terms and conditions of this CONTRACT, the following are not considered COVERED EMERGENCIES: Damage or disablement due to accident, collision, flood, fire, or vandalism; emergencies resulting from the use of intoxicants or narcotics or the use of the COVERED VEHICLE in the commission of an illegal act; repeated service calls for a COVERED VEHICLE in need of routine maintenance or repair; and, towing from or repair work performed at a service station, garage or repair shop.

COVERED KEY LOSS: The COVERED VEHICLE’S KEY(S) that has been lost, damaged and will not work. The absence of a COVERED VEHICLE’S KEY(S) at the time of the COVERED VEHICLE’S original delivery to YOU does not constitute a COVERED KEY LOSS.

COVERED REPAIR: A repair or service that qualifies for coverage under the terms and conditions of this CONTRACT.

COVERED VEHICLE or VEHICLE: The vehicle described on the Registration Page of this CONTRACT.

ELIGIBLE KEY(S): Means those other key(s) owned by YOU contained on YOUR key ring holding the COVERED VEHICLE’S KEY(S) at the time of a COVERED KEY LOSS (including, for example, keys to cars, trucks, boats, trailers, RVs and personal items such as jewelry lock boxes, safes, etc.).

KEY(S): Means up to two (2) properly functioning master keys and / or transponders (where applicable) provided to YOU for the COVERED VEHICLE at the time of the COVERED VEHICLE’S original delivery. Any valet key(s) and aftermarket device(s) (e.g. remote starter) for the COVERED VEHICLE are not considered to be a KEY(S).

PAINTLESS DENT REPAIR or PDR: The process used to remove small dings and minor dents (up to four inches in diameter) from the painted surfaces of YOUR COVERED VEHICLE without harming the COVERED VEHICLE’S factory finish, subject to the limitations and exclusions set forth in this CONTRACT.

POST-SALE CONTRACT: A used vehiclecontract in which the CONTRACT PURCHASE DATE is after the VEHICLE PURCHASE DATE. This CONTRACT does not cover any used VEHICLE if the date YOU purchased the CONTRACT and date YOU purchased YOUR VEHICLE are different unless the Post-Sale Contract box is check under “Mandatory Surcharges” on the Registration page of this CONTRACT.

ROAD HAZARD: Objects and road conditions such as potholes, rocks, wood debris, metal parts, nails, glass, plastic or composite scraps or any item causing tire and / or wheel damage other than wear and tear and those conditions excluded under the section titled “Exclusions”.

SELLING DEALER: The Automobile Dealer identified on the Registration Page of this CONTRACT.

TERM OF COVERAGE: The time in months COVERED VEHICLE is covered under this CONTRACT as listed under TERM OF COVERAGE on the Registration Page of this CONTRACT. The CONTRACT length of the TERM OF COVERAGE in months begins on the CONTRACT PURCHASE DATE. This CONTRACT expires when the TERM OF COVERAGE months is reached.

UNSERVICEABLE: A situation in which the wheel is unable to seal with the tire, resulting in air loss and is non-repairable or the structural integrity of the wheel has been jeopardized.

VEHICLE PURCHASE DATE: The datethe COVERED VEHICLE was purchased by YOU.

WARRANTY: Any WARRANTY of the manufacturer or any other WARRANTY.

WE, US, and OUR: CornerStone United, Ltd.

YOU, YOUR, YOURS, and CONTRACT HOLDER: The person(s) listed on the Registration Page as the purchaser(s) of this CONTRACT.

II.     COVERAGE OPTIONS

A. TIRE & WHEEL:

During the TERM OF COVERAGE of this CONTRACT, YOU are eligible for the following benefits based on the COVERAGE OPTION YOU purchased as marked on the Registration Page of this CONTRACT:

    SELECT PLAN: In the event a tire(s) and / or wheel(s) on YOUR COVERED VEHICLE is / are damaged due to a ROAD HAZARD, WE will pay a repair facility, or at OUR option, reimburse YOU the following:

    Tire RepairWE will pay the charges incurred for the repair of the flat tire(s).

    Tire ReplacementWE will pay for a replacement tire should the tire become non-repairable due to impact breaks, snags, punctures, or other ROAD HAZARDS. WE will pay the cost of a replacement tire of like kind and quality (including mounting, balancing, and new valve stem) at the average regional retail rate. Replacements are limited to the manufacturer’s original tires or comparable or like replacements. Comparable or like replacements are determined by the ADMINISTRATOR.

    Wheel RepairWE will pay the charges incurred for the repair of the wheel(s).

    Wheel ReplacementWE will pay for a replacement wheel should the wheel become UNSERVICEABLE due to ROAD HAZARD damage. WE will pay the cost of a replacement wheel of like kind and quality (including mounting, balancing, and new valve stem) at the average regional retail rate. Replacements are limited to the manufacturer’s original wheels or comparable or like replacements. Comparable or like replacements are determined by the ADMINISTRATOR.

    Towing – WE will reimburse YOU for towing costs necessitated by damage caused by a covered ROAD HAZARD up to one hundred dollars ($100).

    Rental Car WE will reimburse YOU for rental car expenses up to fifty dollars ($50) per day for a maximum of two (2) days if the repair(s) to YOUR tire(s) and / or wheel(s) require eight (8) hours or more of labour, if WE require an inspection of the COVERED VEHICLE or if the repair(s) require the shipment of the damaged wheel(s).

    ULTIMATE PLAN: Includes all coverage under the Select Plan plus the following:

    Curb Damage – ROAD HAZARD is expanded to include the damage of a tire(s) or wheel(s) due to impact with a curb.

    Cosmetic Damage – Coverage is provided for alloy or steel wheels where the normal condition of the wheel(s) is altered from its normal appearance. Coverage is limited to brushed or painted surfaces. WE will utilize OUR repair network and determine the best repair process for the Cosmetic Damage. Repairs can consist of cosmetic repair, straightening or remanufacturing. Wheel(s) will be repaired when possible. Any wheel(s) that cannot be repaired will be replaced ONLY IF THE WHEEL IS UNSERVICEABLE. Replacements are limited to the manufacturer’s original wheel(s) or comparable or like replacements. Comparable or like replacements are determined by the ADMINISTRATOR.

    See Section VI. “How to Make a Claim” for more information on how to submit a claim.

    EXCLUSIONS:

    This CONTRACT does not provide TIRE & WHEEL coverage for:

    1. ANY DAMAGE THAT EXISTED AT THE TIME OF THE RETAIL SALE OF THIS CONTRACT.
    2. Repair or replacement covered by the manufacturer or other WARRANTY or CONTRACT HOLDER’S primary insurance coverage.
    3. Repairs or replacements not authorized by the ADMINISTRATOR prior to its repair or replacement.
    4. Tires that have three-thirty-seconds of an inch (3/32″) or less tread depth remaining.
    5. Repair or replacement exceeding the manufacturer’s vehicle specification, or when the manufacturer, by public announcement or recall, established its responsibilities to replacement for any manufacturer’s defect.
    6. Damage caused by negligence, abuse, misuse, collision, manufacturers’ defects, valve or rim leaks, improper installation, dry rot in either sidewall or tread, tire chains, racing or off-road use, vandalism, malicious mischief, chain damage, fire or theft.
    7. Off-road vehicles, recreational vehicles, vehicles with re-capped tires, vehicles with off-road tires and / or wheels, or vehicles that are rated more than one (1) ton.
    8. Custom wheels or tires.
    9. Failures occurring from operating on any surface other than federal, provincial, county, city or municipality paved roads or highways.
    10. COMMERCIAL USE VEHICLES are not eligible for coverage.
    11. Any COVERED VEHICLE that is used for racing or other competition, rentals, dealer loaners, limousine, taxi, police car or other emergency vehicle.
    12. Vehicles registered and / or otherwise normally operated outside Canada or the United States.
    13. Tires and / or wheels that do not meet the manufacturers’ recommendations specific to YOUR COVERED VEHICLE.
    14. Loss or damage caused by misuse occasioned from driving on tires that are over inflated, under inflated or flat.
    15. Chrome wheels and alloy wheels with chrome simulation are excluded from Cosmetic Damage coverage under this CONTRACT.
    16. Wheels that will not seal due to rust and corrosion.
    17. Any consequential loss or damage whatsoever, including loss, damage or injury to person or property resulting from the failure of any parts of YOUR COVERED VEHICLE, the replacement of which are covered under the terms and conditions of this CONTRACT.
    18. If YOU continue to drive on a run flat tire that exceeds the requirements listed in the owner’s manual specific to YOUR COVERED VEHICLE.

    B. WINDSHIELD REPAIR:

    1. WE will reimburse YOU for the repair of YOUR COVERED VEHICLE’S front windshield’s cracks, stars or chips up to one and a half (1.5) inches in diameter when it is: (1) damaged by propelled rocks and / or other ROAD HAZARD debris such as wood debris, metal parts, plastic or composite scraps, or any other propelled objects while the COVERED VEHICLE is being driven; or (2) caused by stress on the windshield due to bumps in the highways, streets, or roads. Repairs to cracks, stars or chips on the front windshield surface that are determined to be repairable will be performed using the existing windshield repair process, subject to the following limitations and exclusions contained in this CONTRACT. Most front windshield minor cracks, stars or chips can be repaired, and, in most cases, a completed repair will not be noticeable. Damage caused by collision is not covered under this CONTRACT. A windshield repair technician will examine the damaged area prior to performing windshield repair to determine if the cracks, stars or chips can be repaired. If the windshield repair technician and ADMINISTRATOR determine that the windshield cannot be repaired, WE will reimburse YOU for the expenses incurred for the replacement of YOUR COVERED VEHICLE’S front windshield (except where prohibited by law) up to a maximum of five hundred dollars ($500) per occurrence. Documentation of valid expenses for a front windshield replacement for YOUR COVERED VEHICLE is required. See Section VI. “How to Make a Claim” for more information on how to submit a claim.

    This CONTRACT may provide a duplication of coverage already provided by YOUR automobile physical damage insurance policy.

    EXCLUSIONS:

    This CONTRACT does not provide WINDSHIELD REPAIR coverage for:

    1. ANY DAMAGE THAT EXISTED AT THE TIME OF THE RETAIL SALE OF THIS CONTRACT.
    2. Any repair or replacement covered by WARRANTY, recall or acknowledgement of responsibility issued by the manufacturer.
    3. Repairs not authorized by the ADMINISTRATOR prior to its repair.
    4. Any additional costs for services not specifically covered by the CONTRACT.
    5. Damage to any glass other than the COVERED VEHICLE’S front windshield.
    6. Any amounts in excess of five hundred dollars ($500) incurred in replacing YOUR COVERED VEHICLE’S front windshield which is deemed to be non-repairable by the examining technician.
    7. Replacement of any parts other than the windshield.
    8. Damage due to abnormal wear, acts of God, damage caused by or related to animals (including pets), collision and / or accident, fire, flood, hail, modification of the COVERED VEHICLE, mischief, misuse, natural disaster or acts of nature, neglect, overloading, riot / civil commotions, vandalism, or water intrusion.
    9. COMMERCIAL USE VEHICLES are not eligible for coverage.
    10. Damage to YOUR COVERED VEHICLE or other property resulting from the use of intoxicants or narcotics, or the use of YOUR COVERED VEHICLE in the commission of an illegal act.
    11. Any incidental or consequential damages of any kind, including but not limited to damages for loss of use of the COVERED VEHICLE, damages to property, loss of time, loss of profits, loss of income, or inconvenience.

    C. PAINTLESS DENT REPAIR:

    1. In the event YOU incur minor dents and / or dings in YOUR COVERED VEHICLE’S painted metal panels, WE will reimburse YOU for the repair of minor dents and / or dings up to four (4) inches in length that can be repaired with the PAINTLESS DENT REPAIR (PDR) process. Not all dents and dings can be repaired using the PDR process. Larger dents, dents with creases, dents and dings that are not accessible with PDR tools, and those requiring repainting are not covered. In the event that YOUR COVERED VEHICLE’S dents / dings are caused by hail damage, WE will reimburse YOU (except where prohibited by law), to a maximum of two hundred and fifty dollars ($250) per occurrence, incurred for the repair of YOUR COVERED VEHICLE’S hail damage. Documentation of valid expenses for a repair of hail damage on for YOUR COVERED VEHICLE is required. See Section VI. “How to Make a Claim” for more information on how to submit a claim.

    EXCLUSIONS:

    This CONTRACT does not provide PAINTLESS DENT REPAIR coverage for:

    1. ANY DAMAGE THAT EXISTED AT THE TIME OF THE RETAIL SALE OF THIS CONTRACT.
    2. Any repair or replacement covered by WARRANTY, recall or acknowledgement of responsibility issued by the manufacturer.
    3. Repairs not authorized by the ADMINISTRATOR prior to its repair.
    4. Any additional costs for services not specifically covered by the CONTRACT.
    5. Dents that are too large in size (exceeds four (4) inches in diameter) shall be deemed non-repairable using the PDR process.
    6. Dents and dings on horizontal panels, creases of the COVERED VEHICLE body, dents in body lines or curves, or dents on the edge of a body panel.
    7. Dents, dings or creases that will damage the body or paint finish if the PDR process is utilized.
    8. Dents or dings that are not capable of being completely repaired using the PDR process.
    9. Dents or dings that require the use of putty, sanding, bonding, primer, or paint.
    10. Dents or dings where access is restricted due to manufacturer installed bracing, double metal panels, aftermarket installations or other access limitations.
    11. Deep dents that stretch the metal too far and do not allow the metal to return to its original form.
    12. COMMERCIAL USE VEHICLES are not eligible for coverage.
    13. Chrome or unpainted portions of the COVERED VEHICLE, glass, plastic, or other non-metal exterior sections of the COVERED VEHICLE body or attached to the COVERED VEHICLE body.
    14. Any damage to the interior of the COVERED VEHICLE or the undercarriage of the COVERED VEHICLE.
    15. Environmental damage including, but not limited to, rust, corrosion, and damage from chemicals.
    16. Replacement of any parts.
    17. Damage due to abnormal wear, acts of God, aesthetic damage (including but not limited to scratches, paint deterioration, chips, cracks or other damages to the paint on the surface of the COVERED VEHICLE, nicks, normal wear and tear), damage caused by or related to animals (including pets), collision and / or accident, fire, flood, modification of the COVERED VEHICLE, mischief, misuse, natural disaster or acts of nature, neglect, overloading, riot / civil commotions, vandalism, or water intrusion.
    18. Damage to YOUR COVERED VEHICLE or other property resulting from the use of intoxicants or narcotics, or the use of YOUR COVERED VEHICLE in the commission of an illegal act.
    19. Any incidental or consequential damages of any kind, including but not limited to damages for loss of use of the COVERED VEHICLE, damages to property, loss of time, loss of profits, loss of income, or inconvenience.

    D. KEY REPAIR / REPLACEMENT:

    1. In the event YOUR KEY(S) is lost or damaged and will not work, Xtended Auto Roadside Assistance will reimburse YOU up to one thousand dollars ($1,000) per incident for the repair or, if not repairable, the replacement of YOUR KEY(S) and / or transponder. Replacements will be of original equipment manufacturer (OEM) or like kind and quality keys and / or transponders. Coverage will be provided for the reasonable repair or replacement of key inserts, metal key charge, key housing, remote housing / transmitter, Bluetooth replacement, and any related vehicle programming expenses. Coverage is limited to a total of one (1) claim during any twelve (12) month period during the TERM OF COVERAGE. Coverage will not be provided to increase the number of KEY(S) and / or transponders for the COVERED VEHICLE. YOU will not be required to pay any sum, in addition to the CONTRACT PURCHASE PRICE, for any covered services up to the benefit limits shown. YOU are responsible for any non-covered expenses.

    Additional Lost Key Benefits: In the event additional keys were lost in conjunction with a COVERED KEY LOSS, Xtended Auto Roadside Assistance will reimburse YOU up to one hundred dollars ($100) per occurrence to replace ELIGIBLE KEY(S). Valid receipts must be received by Xtended Auto Roadside Assistance within ninety (90) days of the initial COVERED KEY LOSS.

    EXCLUSIONS:

    This CONTRACT does not provide KEY REPAIR / REPLACEMENT coverage for:

    1. Any repair or replacement performed without prior authorization by Xtended Auto Roadside Assistance.
    2. Any repair or replacement covered by WARRANTY, recall or acknowledgement of responsibility issued by the manufacturer(s) of the KEY(S) or ELIGIBLE KEY(S) to be replaced.
    3. Repair or damage to the residence, COVERED VEHICLE or other property.
    4. Coverage shall not be provided in the event of emergencies resulting from the use of intoxicants or narcotics, or the use of the COVERED VEHICLE in the commission of an illegal act.
    5. Any damages or loss, whatsoever, whether consequential, direct or otherwise, resulting from the failure or loss of a programmed replacement KEY(S).
    6. Any damage to or non-functioning of KEY(S) or ELIGIBLE KEY(S) caused by wear and tear (e.g., battery failure / loss of charge, cosmetic damage).
    7. Any replacement of KEY(S) WHEN AT LEAST TWO (2) SETS OF KEY(S) FOR THE COVERED VEHICLE WERE NOT DELIVERED AT THE TIME OF THE VEHICLE’S PURCHASE.
    8. Any valet keys or aftermarket devices (such as remote starter).
    9. The loss or damage to any keys, remotes, transponders or smart cards other than those defined as ELIGIBLE KEY(S). This includes, but is not limited to: alarm, wheel, after-market remote / transponder, lo-jack, club, garage door key / remote, home security remote, remotes / keys for gated or fenced-in communities or buildings, and remotes / transponders / smart cards for vehicles other than the COVERED VEHICLE.
    10. Any and all tolls and fines.
    11. COMMERCIAL USE VEHICLES are not eligible for coverage.
    12. Only the REASONABLE REPAIR OR REPLACEMENT COST for KEY(S) or ELIGIBLE KEY(S) is covered under the terms, conditions and limitations set forth in this CONTRACT.
    13. If the COVERED VEHICLE is leased, the following will not be covered: (1) replacement of any KEY(S) that are not accounted for during the final lease inspection by the SELLING DEALER; (2) any charge assessed by the SELLING DEALER for missing KEY(S) on the end-of-lease inspection report; (3) any claim filed after the lease termination date; and (4) any repair or replacement covered by WARRANTY, recall or acknowledgement of responsibility issued by the manufacturer of the KEY to be replaced including “wear and tear” programs provided for leased vehicles.
    14. Xtended Auto Roadside Assistance does not in any way warrant or guarantee, whether expressed or implied, any replacement KEY or ELIGIBLE KEY(S) obtained by YOU.

    KEY REPAIR / REPLACEMENT CLAIMS PROCEDURE (1-866-538-5257):

    To obtain COVERED VEHICLE KEY replacement benefits under this CONTRACT, YOU must comply with the following conditions:

    1. All requests for KEY replacement must be reported to Xtended Auto Roadside Assistance before any replacement is begun. Call Xtended Auto Roadside Assistance toll-free (1-866-538-5257) for instructions and to obtain authorization and a claim tracking number before work on a replacement KEY commences. NOTE: The issuance of a claim tracking number does not imply nor shall be construed or interpreted as approval of a claim, but only that YOU have fulfilled YOUR responsibility in reporting such claim.
    2. If YOU are within an 80-kilometre radius of the SELLING DEALER, YOU must return there to have a replacement KEY cut and programmed. If YOU are outside the 80-kilometre radius, YOU may go to an appropriate dealer.
    3. All non-working VEHICLE KEY(S) must be made available to the dealer for inspection and reprogramming.
    4. The dealer must fax a signed copy of the original repair order to the Xtended Auto Roadside Assistance fax number received upon authorization of replacement for final payment.
    5. The dealer will be paid as soon as an appropriate signed repair order is received by Xtended Auto Roadside Assistance from the dealer. YOU are not responsible for any out-of-pocket expenses other than costs in excess of one thousand dollars ($1,000) per occurrence.
    6. All replacement KEYS and any programming are only available by the SELLING DEALER or an appropriate franchise dealer. Xtended Auto Roadside Assistance does not cut, order, or program any lost or damaged KEYS.
    7. WARNING: Any person who knowingly, and with intent to injure, defraud or deceive Xtended Auto Roadside Assistance, files a statement of a claim or application containing false, incomplete or misleading information will be prosecuted to the fullest extent of the law.

    ADDITIONAL KEY REPLACEMENT CLAIMS PROCEDURE (1-866-538-5257):

    8. Xtended Auto Roadside Assistance will reimburse YOU for replacement of YOUR ELIGIBLE KEY(S), up to one hundred dollars ($100) per occurrence, upon receipt of paid invoice(s) for the replacement(s). Call Xtended Auto Roadside Assistance Claims Department toll-free (1-866-538-5257) for assistance.

      E. ROADSIDE ASSISTANCE

      1. Emergency Roadside Assistance is available twenty-four (24) hours a day, every day of the year throughout Canada and the United States. Roadside Assistance coverage is intended for emergencies only. YOUR coverage begins on the CONTRACT PURCHASE DATE and terminates on the expiration or cancellation of YOUR CONTRACT. YOU will only have to pay for any non-covered roadside assistance expenses or covered costs in excess of YOUR one hundred dollar ($100) per occurrence maximum, as outlined below. YOU will not be required to pay any sum, in addition to the CONTRACT PURCHASE PRICE, for any covered services up to the benefit limits shown. YOU are responsible for any non-covered expenses. Service must be a covered benefit under the terms and conditions of this CONTRACT and is available only for the specific COVERED VEHICLE registered as part of this CONTRACT. Emergency Roadside Assistance Benefits are not available on COMMERCIAL USE VEHICLES.

      All roadside assistance benefits are administered by Xtended Auto Roadside Assistance, 1-866-538-5257.

      In the event that service is not obtainable through Xtended Auto Roadside Assistance, YOU will receive an authorization number to receive a refund of payments made according to YOUR program benefit and coverage limits for services received independently. YOU must first contact Xtended Auto Roadside Assistance for authorization to obtain independent services.

      All of the services provided are described herein and are applicable throughout Canada and the United States.

      Call the toll-free number 1-866-538-5257 and a service vehicle will be dispatched to YOUR assistance. Important: Please be with YOUR COVERED VEHICLE when the service provider arrives, as they cannot service an unattended vehicle. NOTE: ASSISTANCE OBTAINED THROUGH ANY SOURCE OTHER THAN XTENDED AUTO ROADSIDE ASSISTANCE IS NOT COVERED AND IS NOT REIMBURSABLE.

      24-Hour Toll-Free Emergency Roadside Assistance will be provided to the COVERED VEHICLE for the following COVERED EMERGENCIES up to the benefit limit of one hundred dollars ($100) per occurrence:

      Towing Assistance When towing is necessary, the COVERED VEHICLE will be towed to the nearest licensed service facility or to any location requested by the covered customer up to the one hundred dollar ($100) per occurrence limit.

      Flat Tire Assistance Service consists of the removal of the flat tire and its replacement with the spare tire located within the COVERED VEHICLE. Towing assistance will be provided if needed.

      Fuel, Oil, Fluid and Water Delivery Service An emergency supply of fuel, oil, fluid and water will be delivered if the COVERED VEHICLE is in immediate need. YOU must pay for the fuel or other fluid when it is delivered;

      Lock-out Assistance If YOUR KEYS are locked inside the COVERED VEHICLE, assistance will be provided to supply assistance in gaining entry into the COVERED VEHICLE.

      Battery Assistance – If battery failure occurs, a jump start will be provided to start YOUR COVERED VEHICLE.

      For any amount exceeding the program’s one hundred-dollar ($100) limit, it will be YOUR responsibility to pay the service provider directly for the additional charges. Coverage is extended to any driver of the COVERED VEHICLE.

      EXCLUSIONS:

      This CONTRACT does not provide ROADSIDE ASSISTANCE coverage for:

      1. ANY DAMAGE THAT EXISTED AT THE TIME OF THE RETAIL SALE OF THIS CONTRACT.
      2. Any service covered by WARRANTY, recall or acknowledgement of responsibility issued by the manufacturer.
      3. Any claims made on a CONTRACT for which payment for the CONTRACT has not been received, or for services not performed, not authorized, or not as described at the time of authorization.
      4. Any costs when any material information provided to Xtended Auto Roadside Assistance cannot be verified as accurate or is found to be deceptive.
      5. Emergencies resulting from the use of intoxicants or narcotics, or the use of the COVERED VEHICLE in the commission of an illegal act.
      6. Cost of parts, replacement keys, fluids, lubricants, or cost of fuel, material, additional labour relating to towing, or the cost of installation of products.
      7. Non-emergency towing or other non-emergency service.
      8. Non-emergency mounting or removing of snow tires or chains.
      9. Shoveling snow from around the VEHICLE.
      10. Tire repair.
      11. Extrication or winching.
      12. Motorcycles, trucks over one-and-a-half (1 ½) ton capacity, antique vehicles (meaning vehicles over twenty (20) years old or out of manufacture for ten (10) years or more), taxicabs, limousines, or other commercial vehicles.
      13. Recreational vehicles (RVs), camping trailers, travel trailers, or any vehicles in tow.
      14. Any and all tolls or fines.
      15. Any fees such as shipping and surcharges, shop supplies, unless specifically authorized in this CONTRACT.
      16. Damage or disablement due to outside sources such as accident, theft, malicious mischief, vandalism, war, riots, acts of terrorism, civil commotion, explosion and / or acts of nature including but not limited to fire, water, tornadoes or earthquakes.
      17. Towing from or repair work performed at a service station, garage or repair shop.
      18. Towing by other than a licensed towing company, service station, or garage; vehicle storage charges; a second tow.
      19. Service on a COVERED VEHICLE that is not in a safe condition to be towed or services that may result in damage to the COVERED VEHICLE if towed or serviced.
      20. Towing or service on roads not regularly maintained, such as sand beaches, open fields, forests, and areas designated as not passable due to construction, etc.
      21. No towing or other services will be performed when the COVERED VEHICLE is in an unsafe condition or location.
      22. Towing at the direction of a law enforcement officer relating to traffic obstruction, impoundment, abandonment, illegal parking, or other violations of law.
      23. Repeated service calls for a COVERED VEHICLE in need of routine maintenance or repair.
      24. Services received independently from Xtended Auto Roadside Assistancewithout prior authorization from Xtended Auto Roadside Assistance.
      25. Only one disablement for the same service type during any seven-day period will be accepted.

      THIS IS NOT A ROADSIDE ASSISTANCE REIMBURSEMENT SERVICE: The Emergency Roadside Assistance benefit is not intended to provide reimbursement of service secured independently of this program. Fees for services incurred independently are NOT covered without prior authorization from Xtended Auto Roadside Assistance. In the event that Xtended Auto Roadside Assistanceis unable to provide the roadside assistance service requested, YOU will be authorized by Xtended Auto Roadside Assistanceto obtain service from another service provider. In this event, and upon YOUR written request, YOU will be reimbursed for any payments made for authorized covered services up to the specified benefit limits. Otherwise, service secured through any source other than Xtended Auto Roadside Assistancewill not be reimbursed.

      F. MANDATORY SURCHARGES:

      POST-SALE CONTRACT: Coverage for used VEHICLES is only available at the time of delivery, unless the Post-Sale Contract surcharge is selected under the “Mandatory Surcharges” section of the Registration page of this CONTRACT. For POST-SALE CONTRACTS, claims will not be considered during the first thirty (30) days from the CONTRACT PURCHASE DATE.

      IV.    GENERAL PROVISIONS

      TERRITORIAL LIMITS: This CONTRACT will cover the VEHICLE only when it is in Canada or the United States.

      CONSEQUENTIAL DAMAGES: ADMINISTRATOR is not responsible for any oral misrepresentation, or incidental or consequential damages other than the coverage and exclusions contained herein. This CONTRACT applies to the parts and labour for the identified items only, and does not provide for bodily injury, property damages, liability, or any other type of liability coverage.

      CHANGES: No changes may be made to this CONTRACT unless approved by US in writing. None of OUR representatives have the authority to change or waive any provisions to this CONTRACT.

      REPRESENTATIONS: By acceptance of this CONTRACT, YOU agree that statements in this CONTRACT made by YOU are YOUR representations and agreements and that this CONTRACT is issued in reliance upon the truths of those statements.

      CONFORMITY TO STATUTE: This CONTRACT will be governed and construed in accordance with the laws of the Province where this CONTRACT is written and any dispute or litigation by either party arising out of the terms of the CONTRACT will be commenced in a court of competent jurisdiction in said province.

      ENTIRE AGREEMENT: This CONTRACT is the entire understanding between YOU and US and there are no warranties, representations or agreements that are not expressly set forth herein.

      DELAYS: This CONTRACT does not guarantee days or time of service. WE are not liable for any damages whatsoever arising out of delays, either before or after a day or time of service is agreed upon.

      TRANSFER: To transfer the CONTRACT, the CONTRACT HOLDER will forward their copy of the CONTRACT and a copy of the bill of sale or receipt, the new owner’s information and the transfer fee of fifty dollars ($50) to the ADMINISTRATOR within thirty (30) days of transfer date. Proof of maintenance may be required. Transfer of the CONTRACT from the CONTRACT HOLDER to any of the following (or like kind of the following) is not permitted:

      1. Consignment sales;
      2. Dealers; or
      3. Rental agencies.

      OTHER COVERAGE: This CONTRACT provides coverage only in excess of other applicable and valid service contracts (including warranties and policies of insurance) which the CONTRACT HOLDER has, or upon which the CONTRACT HOLDER can recover from third parties.

      V.     CANCELLATION

      All cancellation refund cheques will be sent to the SELLING DEALER. The Lienholder, if any, may be named on the cancellation refund cheque as their interest may appear. YOU can collect YOUR cancellation refund directly from the SELLING DEALER.

      A.     CANCELLATION BY THE CONTRACT HOLDER: This CONTRACT may be cancelled by the CONTRACT HOLDER within thirty (30) days of the CONTRACT PURCHASE DATE. YOU may cancel this CONTRACT by returning to the SELLING DEALER and completing a Cancellation Request Form. If this CONTRACT is cancelled within thirty (30) days of the CONTRACT PURCHASE DATE, the ADMINISTRATOR will refund and send to the SELLING DEALER the cost paid for this CONTRACT, less a cancellation fee of fifty dollars ($50), plus applicable taxes. If at any point in the term of the CONTRACT the UNIT is declared a total loss, this CONTRACT may be cancelled by the CONTRACT HOLDER (valid documentation required). In the event of a total loss, the ADMINISTRATOR will issue a prorated refund of the cost paid for this CONTRACT based on elapsed days of coverage from the CONTRACT PURCHASE DATE, less a cancellation fee of fifty dollars ($50), plus applicable taxes.

      B.     CANCELLATION BY THE ADMINISTRATOR: The ADMINISTRATOR may cancel this CONTRACT at any time for non-payment, for material misrepresentation or fraud in obtaining this CONTRACT, if YOU have violated any of the terms or conditions set forth in this CONTRACT, or for misrepresentation in the submission of a claim. Beginning thirty (30) days following the purchase date of the UNIT, if for any reason, the original manufacturer’s warranty is modified, voided or does not transfer to a new owner, this CONTRACT becomes void. If YOUR CONTRACT is cancelled by US for any of the listed reasons, WE will issue a prorated refund of the cost paid for this CONTRACT based on elapsed days of coverage from the CONTRACT PURCHASE DATE, less a cancellation fee of fifty dollars ($50), plus applicable taxes.

      C.     CANCELLATION BY THE LIENHOLDER: If this CONTRACT has been financed, the Lienholder may cancel this CONTRACT at any time during the term of this CONTRACT for non-payment or if the UNIT is declared a total loss or is repossessed (valid documentation required). If this CONTRACT is cancelled by the Lienholder, the ADMINISTRATOR will issue a prorated refund of the cost paid for this CONTRACT based on elapsed days of coverage from the CONTRACT PURCHASE DATE, less a cancellation fee of fifty dollars ($50), plus applicable taxes.

      VI.    HOW TO MAKE A CLAIM

      YOU should use all reasonable means and precautions to protect YOUR VEHICLE from further damage. This CONTRACT will not cover damage caused by not securing a timely repair of the failed component;

      For information regarding Tire & Wheel, Windshield Repair, Paintless Dent Repair (PDR) contact YOUR SELLING DEALER or, if not available, the ADMINISTRATOR at 1-866-481-1327 Monday through Friday, 8:00 AM – 8:00 PM, Eastern Time. For information regarding Key Repair / Replacement see Section D. “Key Repair / Replacement Claims Procedure,” for Roadside Assistance see Section E. “Roadside Assistance.” If the repairis not covered by this CONTRACT, the costs incurred for disassembly and / or diagnostic work are YOUR responsibility and expense;

      Provide the SELLING DEALER or repair facility with a copy of YOUR CONTRACT;

      Prior to starting repairs for Tire & Wheel, Windshield Repair or Paintless Dent Repair, YOU or the repair facility must call the ADMINISTRATOR at 1-866-481-1327 to verify coverage and obtain a Claim Authorization Number for claims. The amount authorized is the maximum that will be paid. Any additional amounts need prior approval;

      The repair facility and YOU must provide complete cooperation in the investigation of any claim filed under this CONTRACT;

      In some cases, YOU may be required to authorize the repair facility to inspect or disassemble YOUR VEHICLE or KEY(S) to determine the cause and cost of the repair. YOU will be responsible for these charges if the repair is not covered by this CONTRACT. The ADMINISTRATOR reserves the right to require an inspection of YOUR VEHICLE prior to any repair being performed. The ADMINISTRATOR reserves the right to move YOUR COVERED VEHICLE to another repair facility;

      After the ADMINISTRATOR has been contacted, review with the repair facility what will be covered by this CONTRACT;

      When YOU pick up YOUR VEHICLE or KEY(S), review the repair order with the service manager;

      Pay the DEDUCTIBLE and any other non-covered expenses, if applicable;

      YOU or the repair facility must provide the ADMINISTRATOR with the repair order within ninety (90) days of the completion of the authorized repairs. Failure to submit the repair order within ninety (90) days may result in complete denial and non-payment of the claim;

      The ADMINISTRATOR will reimburse the repair facility or YOU after receipt of the repair order, in accordance with the provisions of the CONTRACT, for authorized REPAIR COSTS performed on YOUR VEHICLE, less any applicable DEDUCTIBLE;

      If YOU need to make a claim when the ADMINISTRATOR’S office is closed, YOU may follow these claims procedures without prior authorization. However, YOU or the licensed repair facility MUST call the ADMINISTRATOR during the next business day. Failure to call in and report the claim on the next business day may result in non-payment. Unapproved mail-in claims may be denied. Reimbursement for emergency repairs performed outside of normal business hours can be obtained by YOU only if YOU follow the above procedures on the first business day after such emergency repairs are performed, unless YOU show that it was not reasonably possible to give notice or file the proof of loss within the prescribed time and that the notice was filed as soon as reasonably possible.

      If YOU are submitting a claim for Tire & Wheel, Windshield Repair or Paintless Dent Repair reimbursement, mail a copy of this CONTRACT, claim tracking number and original receipts for the work that was completed to:

      VII.   OUR RIGHT TO RECOVER PAYMENT

      If WE make any payments under this CONTRACT, YOU agree that WE hold all rights of recovery for those payments against anyone, due to, but not limited to a safety recall campaign, any repair required by any court, regulatory agency, decree or settlement. YOU will do nothing to harm those rights. If YOU have a right to recover against another party, YOUR rights become OUR rights. YOU will do whatever is necessary to enable US to enforce these rights. If WE pay for repairs under this CONTRACT and YOU are also repaid for the same repairs by someone else, YOUR payment will become OUR property up to the amount that WE paid for the repairs.

      By signing this Registration Page, YOU acknowledge that this CONTRACT is not required in order to obtain financing for YOUR VEHICLE and that your acceptance under this CONTRACT is voluntary, YOU acknowledge that YOU have read and understand the term and conditions of this CONTRACT, including the exclusions, limitations and arbitration provisions contained herein, YOU acknowledge receipt of a copy of this CONTRACT, and YOU acknowledge that, if Key Repair / Replacement coverage is purchased, YOU have received at least (2) sets of properly functioning KEY(S) and/or transponders (where applicable) for the COVERED VEHICLE on the VEHICLE PURCHASE DATE. A valet key is not considered a KEY.

      CONTRACT HOLDER’S SIGNATURE

      I hereby certify that I have read and understand the terms and conditions of this CONTRACT,
      including the exclusions and limitations contained herein. I also confirm that I have received
      a copy of this CONTRACT in its entirety. NOTE: This document consists of six (6) pages.

      SELLING DEALER SIGNATURE

      As the authorized representative of the SELLING DEALER, I certify that the VEHICLE is eligible for coverage under this CONTRACT and the said VEHICLE meets all the requirements supplied by the ADMINISTRATOR to the SELLING DEALER.

      VEHICLE SERVICE CONTRACT

      When this application is properly filled out, filed, and registered with ADMINISTRATOR, it becomes a CONTRACT. This CONTRACT is between the CONTRACT HOLDER and US. This CONTRACT protects the CONTRACT HOLDER in the event of a COVERED REPAIR for the VEHICLE. In consideration of the payment of the CONTRACT charge to ADMINISTRATOR, and in reliance upon the statements and selections made by the CONTRACT HOLDER and the SELLING DEALER in this CONTRACT and subject to the following Terms, Conditions, Exclusions and Limitations of this CONTRACT, the CONTRACT HOLDER is eligible for the following coverages and benefits. YOUR purchase of this CONTRACT is not a factor or a requirement for obtaining credit. Purchase of this CONTRACT is optional.

      1. DEFINITIONS

      ADMINISTRATOR: CornerStone United, Ltd., 931 Commissioners Road E., Suite 201, London, ON N5Z 3H9, 1-866-481-1327.

      BUSINESS USE VEHICLE: Privately or company owned vehicles that are used by a primary driver for the purpose of, but not limited to, non-delivery route/sales work and light duty route work. Examples of business use are vehicles used for pizza and floral delivery, realtors and sales reps. Vehicles used for business use are eligible for coverage under this CONTRACT.

      COMMERCIAL USE VEHICLE: Vehicles used in any other type of business use not described above under BUSINESS USE VEHICLE, including, but not limited to, fleet and multiple driver vehicles, vehicles used for livery, service and repair work, trade work, mobile businesses, route delivery, vehicles used for ride sharing and vehicles used to pull commercial trailers. Examples of COMMERCIAL USE VEHICLES are vehicles used for taxis, shuttles, lawn care, home inspectors, mail/parcel delivery, dog washing, appliance delivery, contractors/trades. COMMERCIAL USE VEHICLE(S) are ineligible for coverage under this CONTRACT.

      CONTRACT: This Vehicle Service Contract, once it is accepted by the ADMINISTRATOR.

      CONTRACT PURCHASE DATE: The date this CONTRACT was purchased by YOU for the COVERED VEHICLE.

      COVERAGE OPTIONS: The optional coverage or coverages YOU selected as marked on the Registration page of this CONTRACT. Only the benefits listed below under Section II “Coverage Options” that correspond to the COVERAGE OPTIONS YOU selected apply:

      COVERED EMERGENCY: An occurrence when the COVERED VEHICLE is unable to proceed safely under its own power due to disablement as a result of unanticipated and unavoidable circumstances. However, and as it relates to ADMINISTRATOR benefits and services under the terms and conditions of this CONTRACT, the following are not considered COVERED EMERGENCIES: Damage or disablement due to accident, collision, flood, fire, or vandalism; emergencies resulting from the use of intoxicants or narcotics or the use of the COVERED VEHICLE in the commission of a felony; repeated service calls for a COVERED VEHICLE in need of routine maintenance or repair; and, towing from or repair work performed at a service station, garage or repair shop.

      COVERED KEY LOSS: The COVERED VEHICLE’S KEY(S) that has been lost, damaged and will not work. The absence of a COVERED VEHICLE’S KEY(S) at the time of the

      COVERED VEHICLE’S original delivery to YOU does not constitute a COVERED KEY LOSS.

      COVERED REPAIR: A repair or service that qualifies for coverage under the terms and conditions of this CONTRACT. COVERED VEHICLE or VEHICLE: The vehicle described on the Registration page of this CONTRACT.

      DEDUCTIBLE: The amount the CONTRACT HOLDER is required to pay, as shown on the Registration page of this CONTRACT, for a COVERED REPAIR once a part is repaired or replaced under the terms of this CONTRACT.

      ELIGIBLE KEY(S): Means those other key(s) owned by YOU contained on YOUR key ring holding the COVERED VEHICLE’S KEY(S) at the time of a COVERED KEY LOSS (including, for example, keys to cars, trucks, boats, trailers, RVs and personal items such as jewelry lock boxes, safes, etc.).

      KEY(S): Means up to two (2) properly functioning master keys and/or transponders (where applicable) provided to YOU for the COVERED VEHICLE at the time of the COVERED VEHICLE’S original delivery. Any valet key(s) and aftermarket device(s) (e.g. remote starter) for the COVERED VEHICLE are not considered to be a KEY(S).

      PAINTLESS DENT REPAIR or PDR: The process used to remove small dings and minor dents (up to four inches in diameter) from the painted surfaces of YOUR COVERED VEHICLE

      without harming the COVERED VEHICLE’S factory finish, subject to the limitations and exclusions set forth in this CONTRACT.

      POST-SALE CONTRACT: A used vehicle contract in which the CONTRACT PURCHASE DATE is after the VEHICLE PURCHASE DATE. This CONTRACT does not cover any used VEHICLE if the date YOU purchased the CONTRACT and date YOU purchased YOUR VEHICLE are different unless the Post-Sale Contract box is check under “Mandatory Surcharges” on the Registration page of this CONTRACT.

      ROAD HAZARD: Objects and road conditions such as potholes, rocks, wood debris, metal parts, nails, glass, plastic or composite scraps or any item causing tire and/or wheel damage other than wear and tear and those conditions excluded under the section titled “Exclusions”.

      SELLING DEALER: The Automobile Dealer identified on the Registration page of this CONTRACT.

      TERM OF COVERAGE: The time in months COVERED VEHICLE is covered under this CONTRACT as listed under TERM OF COVERAGE on the Registration page of this CONTRACT. The CONTRACT length of the TERM OF COVERAGE in months begins on the CONTRACT PURCHASE DATE. This CONTRACT expires when the TERM OF COVERAGE months is reached.

      UNSERVICEABLE: A situation in which the wheel is unable to seal with the tire, resulting in air loss and is non-repairable or the structural integrity of the wheel has been jeopardized.

      VEHICLE PURCHASE DATE: The date the COVERED VEHICLE was purchased by YOU. WE, US, and OUR: CornerStone United, Ltd.

      WARRANTY: Any WARRANTY of the manufacturer or any other WARRANTY.

      YOU, YOUR, YOURS, CONTRACT HOLDER: The person(s) listed on the Registration page as the purchaser(s) of this CONTRACT.

      II. COVERAGE OPTIONS

      A. TIRE & WHEEL:

      During the TERM OF COVERAGE of this CONTRACT, YOU are eligible for the following benefits based on the COVERAGE OPTION YOU purchased as marked on the Registration Page of this CONTRACT:

      SELECT PLAN: In the event a tire(s) and/or wheel(s) on YOUR COVERED VEHICLE is/are damaged due to a ROAD HAZARD, WE will pay a repair facility, or at OUR option, reimburse YOU the following:

      Tire Repair WE will pay the charges incurred for the repair of the flat tire(s).

      Tire Replacement WE will pay for a replacement tire should the tire become non-repairable due to impact breaks, snags, punctures, or other ROAD HAZARDS. WE will pay the cost of a replacement tire of like kind and quality (including mounting, balancing, new valve stem, and sales tax) at the average regional retail rate. Replacements are limited to the manufacturer’s original tires or comparable or like replacements. Comparable or like replacements are determined by the ADMINISTRATOR.

      Wheel Repair WE will pay the charges incurred for the repair of the wheel(s).

      Wheel Replacement WE will pay for a replacement wheel should the wheel become UNSERVICEABLE due to ROAD HAZARD damage. WE will pay the cost of a replacement wheel of like kind and quality (including mounting, balancing, new valve stem, and sales tax) at the average regional retail rate. Replacements are limited to the manufacturer’s original wheels or comparable or like replacements. Comparable or like replacements are determined by the ADMINISTRATOR.

      Towing – WE will reimburse YOU for towing costs necessitated by damage caused by a covered ROAD HAZARD up to $100.

      Rental Car WE will reimburse YOU for rental car expenses up to fifty dollars ($50) per day for a maximum of two (2) days if the repair(s) to YOUR tire(s) and/or wheel(s) require eight (8) hours or more, if WE require an inspection of the COVERED VEHICLE or if the repair(s) require the shipment of the damaged wheel(s).

      ULTIMATE PLAN: Includes all coverage under the Select Plan plus the following:

      Curb Damage – ROAD HAZARD is expanded to include the damage of a tire(s) or wheel(s) due to impact with a curb.

      Cosmetic Damage – Coverage is provided for alloy or steel wheels where the normal condition of the wheel(s) is altered from its normal appearance. Coverage is limited to brushed or painted surfaces. WE will utilize OUR repair network and determine the best repair process for the Cosmetic Damage. Repairs can consist of cosmetic repair, straightening or remanufacturing. Wheel(s) will be repaired when possible. Any wheel(s) that cannot be repaired will be replaced ONLY IF THE WHEEL IS UNSERVICEABLE. Replacements are limited to the manufacturer’s original wheel(s) or comparable or like replacements. Comparable or like replacements are determined by the ADMINISTRATOR. See Section VI, How to Make a Claim for more information on how to submit a claim.

      EXCLUSIONS:

      This CONTRACT does not provide TIRE & WHEEL coverage for:

      1. ANY DAMAGE THAT EXISTED AT THE TIME OF THE RETAIL SALE OF THIS CONTRACT.
      2. Repair or replacement covered by the manufacturer or other WARRANTY or CONTRACT HOLDER’S primary insurance coverage.
      3. Repairs or replacements not authorized by the ADMINISTRATOR prior to its repair or replacement.
      4. Tires that have three-thirty-seconds of an inch (3/32″) or less tread depth remaining.
      5. Repair or replacement exceeding the manufacturer’s vehicle specification, or when the manufacturer, by public announcement or recall, established its responsibilities to replacement for any manufacturer’s defect.
      6. Damage caused by negligence, abuse, misuse, collision, manufacturers’ defects, valve or rim leaks, improper installation, dry rot in either sidewall or tread, tire chains, racing or off-road use, vandalism, malicious mischief, chain damage, fire or theft.
      7. Off-road vehicles, recreational vehicles, vehicles with re-capped tires, vehicles with off-road tires and/or wheels, or vehicles that are rated more than 1 ton.
      8. Custom wheels or tires.
      9. Failures occurring from operating on any surface other than federal, provincial, county, city or municipality paved roads or highways.
      10. COMMERCIAL USE VEHICLES are not eligible for coverage.
      11. Any COVERED VEHICLE that is used for racing or other competition, rentals, dealer loaners, limousine, taxi, police car or other emergency vehicle.
      12. Vehicles registered and/or otherwise normally operated outside Canada or the United States.
      13. Tires and/or wheels that do not meet the manufacturers’ recommendations specific to YOUR COVERED VEHICLE.
      14. Loss or damage caused by misuse occasioned from driving on tires that are over inflated, under inflated or flat.
      15. Chrome wheels and alloy wheels with chrome simulation are excluded from Cosmetic Damage coverage under this CONTRACT.
      16. Wheels that will not seal due to rust and corrosion.
      17. Any consequential loss or damage whatsoever, including loss, damage or injury to person or property resulting from the failure of any parts of YOUR COVERED VEHICLE, the replacement of which are covered under the terms and conditions of this CONTRACT.
      18. If YOU continue to drive on a run flat tire that exceeds the requirements listed in the owner’s manual specific to YOUR COVERED VEHICLE.

      B. WINDSHIELD REPAIR:

      WE will reimburse YOU for the repair of YOUR COVERED VEHICLE’S front windshield’s cracks, stars or chips up to one and a half (1.5) inches in diameter when it is damaged by: (1) propelled rocks and or other ROAD HAZARD debris such as wood debris, metal parts, plastic or composite scraps, or any other propelled objects while the COVERED VEHICLE is being driven; or (2) caused by stress on the windshield due to bumps in the highways, streets, or roads. Repairs to cracks, stars or chips on the front windshield surface that are determined to be repairable will be performed using the existing windshield repair process, subject to the following limitations and exclusions contained in this CONTRACT. Most front windshield minor cracks, stars or chips can be repaired, and, in most cases, a completed repair will not be noticeable. Damage caused by collision is not covered under this CONTRACT. A windshield repair technician will examine the damaged area prior to performing windshield repair to determine if the cracks, stars or chips can be repaired. If the windshield repair technician and ADMINISTRATOR determine that the windshield cannot be repaired, WE will reimburse YOU for the expenses incurred for the replacement of YOUR COVERED VEHICLE’S front windshield (except where prohibited by law) up to a maximum of five hundred dollars ($500) per occurrence. Documentation of valid expenses for a front windshield replacement for YOUR COVERED VEHICLE is required. See Section VI, How to Make a Claim for more information on how to submit a claim.

      This CONTRACT may provide a duplication of coverage already provided by YOUR automobile physical damage insurance policy.

      EXCLUSIONS:

      This CONTRACT does not provide WINDSHIELD REPAIR coverage for:

      1. ANY DAMAGE THAT EXISTED AT THE TIME OF THE RETAIL SALE OF THIS CONTRACT.
      2. Any repair or replacement covered by WARRANTY, recall or acknowledgement of responsibility issued by the manufacturer.
      3. Repairs not authorized by the ADMINISTRATOR prior to its repair.
      4. Any additional costs for services not specifically covered by the CONTRACT.
      5. Damage to any glass other than the COVERED VEHICLES front windshield.
      6. Any amounts in excess of five hundred dollars ($500) incurred in replacing YOUR COVERED VEHICLE’S front windshield which is deemed to be non-repairable by the examining technician.
      7. Replacement of any parts other than the windshield.
      8. Damage due to abnormal wear, acts of God, damage caused by or related to animals (including pets), collision and/or accident, fire, flood, hail, modification of the COVERED VEHICLE, mischief, misuse, natural disaster or acts of nature, neglect, overloading, riot/civil commotions, vandalism, or water intrusion.
      9. COMMERCIAL USE VEHICLES are not eligible for coverage.
      10. Damage to YOUR COVERED VEHICLE or other property resulting from the use of intoxicants or narcotics, or the use of YOUR COVERED VEHICLE in the commission of an illegal act.
      11. Any incidental or consequential damages of any kind, including but not limited to damages for loss of use of the COVERED VEHICLE, damages to property, loss of time, loss of profits, loss of income, or inconvenience.

      C. PAINTLESS DENT REPAIR:

      In the event YOU incur minor dents and/or dings in YOUR COVERED VEHICLE’S painted metal panels, WE will reimburse YOU for the repair of minor dents and/or dings up to four (4) inches in length that can be repaired with the PAINTLESS DENT REPAIR (PDR) process. Not all dents and dings can be repaired using the PDR process. Larger dents, dents with creases, dents and dings that are not accessible with PDR tools, and those requiring repainting are not covered. In the event that YOUR COVERED VEHICLE’S dents/dings are caused by hail damage, WE will reimburse YOU (except where prohibited by law), to a maximum of two hundred and fifty dollars ($250) per occurrence, incurred for the repair of YOUR COVERED VEHICLE’S hail damage. Documentation of valid expenses for a repair of hail damage on for YOUR COVERED VEHICLE is required. See Section VI, How to Make a Claim for more information on how to submit a claim.

      EXCLUSIONS:

      This CONTRACT does not provide PAINTLESS DENT REPAIR coverage for:

      1. ANY DAMAGE THAT EXISTED AT THE TIME OF THE RETAIL SALE OF THIS CONTRACT.
      2. Any repair or replacement covered by WARRANTY, recall or acknowledgement of responsibility issued by the manufacturer.
      3. Repairs not authorized by the ADMINISTRATOR prior to its repair.
      4. Any additional costs for services not specifically covered by the CONTRACT.
      5. Dents that are too large in size (exceeds four (4) inches in diameter) shall be deemed non-repairable using the PDR process.
      6. Dents and dings on horizontal panels, creases of the COVERED VEHICLE body, dents in body lines or curves, or dents on the edge of a body panel.
      7. Dents, dings or creases that will damage the body or paint finish if the PDR process is utilized.
      8. Dents or dings that are not capable of being completely repaired using the PDR process.
      9. Dents or dings that require the use of putty, sanding, bonding, primer, or paint.
      10. Dents or dings where access is restricted due to manufacturer installed bracing, double metal panels, aftermarket installations or other access limitations.
      11. Deep dents that stretch the metal too far and do not allow the metal to return to its original form.
      12. COMMERCIAL USE VEHICLES are not eligible for coverage.
      13. Chrome or unpainted portions of the COVERED VEHICLE, glass, plastic, or other non-metal exterior sections of the COVERED VEHICLE body or attached to the COVERED VEHICLE body.
      14. Any damage to the interior of the COVERED VEHICLE or the undercarriage of the COVERED VEHICLE.
      15. Environmental damage including, but not limited to, rust, corrosion, and damage from chemicals.
      16. Replacement of any parts.
      17. Damage due to abnormal wear, acts of God, aesthetic damage (including but not limited to scratches, paint deterioration, chips, cracks or other damages to the paint on the surface of the COVERED VEHICLE, nicks, normal wear and tear), damage caused by or related to animals (including pets), collision and/or accident, fire, flood, modification of the COVERED VEHICLE, mischief, misuse, natural disaster or acts of nature, neglect, overloading, riot/civil commotions, vandalism, or water intrusion.
      18. Damage to YOUR COVERED VEHICLE or other property resulting from the use of intoxicants or narcotics, or the use of YOUR COVERED VEHICLE in the commission of an illegal act.
      19. Any incidental or consequential damages of any kind, including but not limited to damages for loss of use of the COVERED VEHICLE, damages to property, loss of time, loss of profits, loss of income, or inconvenience.

      D. KEY REPAIR/REPLACEMENT:

      In the event YOUR KEY(S) is lost or damaged and will not work, Xtended Auto Roadside Assistance will reimburse YOU up to one thousand dollars ($1,000) per incident for the repair or, if not repairable, the replacement of YOUR KEY(S) and/or transponder. Replacements will be of original equipment manufacturer (OEM) or like kind and quality keys and/or transponders. Coverage will be provided for the reasonable repair or replacement of key inserts, metal key charge, key housing, remote housing/transmitter, Bluetooth replacement, and any related vehicle programming expenses. Coverage is limited to a total of one (1) claim during any twelve (12) month period during the TERM OF COVERAGE. Coverage will not be provided to increase the number of KEY(S) and/or transponders for the COVERED VEHICLE. YOU will not be required to pay any sum, in addition to the CONTRACT PURCHASE PRICE, for any covered services up to the benefit limits shown. YOU are responsible for any non-covered expenses. Additional Lost Key Benefits: In the event additional keys were lost in conjunction with a COVERED KEY LOSS, Xtended Auto Roadside Assistance will reimburse YOU up to one hundred dollars ($100) per occurrence to replace ELIGIBLE KEY(S). Valid receipts must be received by Xtended Auto Roadside Assistance within ninety (90) days of the initial COVERED KEY LOSS.

      EXCLUSIONS:

      This CONTRACT does not provide KEY REPAIR/REPLACEMENT coverage for:

      1. Any damage that existed at the time of the retail sale of this contract.
      2. Any repair or replacement performed without prior authorization by Xtended Auto Roadside Assistance.
      3. Any repair or replacement covered by WARRANTY, recall or acknowledgement of responsibility issued by the manufacturer(s) of the KEY(S) or ELIGIBLE KEY(S) to be replaced.
      4. Repair or damage to the residence, COVERED VEHICLE or other property.
      5. Coverage shall not be provided in the event of emergencies resulting from the use of intoxicants or narcotics, or the use of the COVERED VEHICLE in the commission of a felony.
      6. Any damages or loss, whatsoever, whether consequential, direct or otherwise, resulting from the failure or loss of a programmed replacement KEY(S).
      7. Any damage to or non-functioning of KEY(S) or ELIGIBLE KEY(S) caused by wear and tear (e.g., battery failure/loss of charge, cosmetic damage).
      8. Any replacement of KEY(S) WHEN AT LEAST TWO (2) SETS OF KEY(S) FOR THE COVERED VEHICLE WERE NOT DELIVERED AT THE TIME OF THE VEHICLE’S PURCHASE.
      9. Any valet keys or aftermarket devised (such as remote start).
      10. The loss or damage to any keys, remotes, transponders or smart cards other than those defined as ELIGIBLE KEY(S). This includes, but is not limited to: alarm, wheel, after-market remote/transponder, lo-jack, club, garage door key/remote, home security remote, remotes/keys for gated or fenced-in communities or buildings, and remotes/transponders/smart cards for vehicles other than the COVERED VEHICLE.
      11. Any and all tolls, taxes and fines.
      12. COMMERCIAL USE VEHICLES are not eligible for coverage.
      13. Only the REASONABLE REPAIR OR REPLACEMENT COST for KEY(S) or ELIGIBLE KEY(S) is covered under the terms, conditions and limitation set forth in this CONTRACT.
      14. If the COVERED VEHICLE is leased, the following will not be covered: (i) replacement of any KEY(S) that are not accounted for during the final lease inspection by the SELLING DEALER; (ii) any charge assessed by the SELLING DEALER for missing KEY(S) on the end-of-lease inspection report; (iii)  any claim filed after the lease termination date; and (iv) any repair or replacement covered by warranty, recall or acknowledgement of responsibility issued by the manufacturer of the KEY to be replaced including “wear and tear” programs provided for leased vehicles.
      15. Xtended Auto Roadside Assistance does not in any way warrant or guarantee, whether expressed or implied, any replacement KEY or ELIGIBLE KEY obtained by YOU.

      KEY REPAIR/REPLACEMENT CLAIMS PROCEDURE (1-866-538-5257):

      To obtain COVERED VEHICLE KEY replacement benefits under this CONTRACT, YOU must comply with the following conditions:

      1. All requests for KEY replacement must be reported to Xtended Auto Roadside Assistance before any replacement is begun. Call Xtended Auto Roadside Assistance Toll Free (1-866-538-5257) for instructions and to obtain authorization and a claims tracking number before work on a replacement KEY commences. NOTE: The issuance of a claims tracking number does not imply nor shall be construed or interpreted as approval of a claim, but only that YOU have fulfilled YOUR responsibility in reporting such claim.
      2. If YOU are within a 50-mile radius of the SELLING DEALER, YOU must return there to have a replacement KEY cut and programmed. If YOU are outside the 50-mile radius, YOU may go to an appropriate dealer.
      3. All non-working VEHICLE KEY(S) must be made available to the dealer for inspection and reprogramming.
      4. The dealer must fax a signed copy of the original repair order to the Xtended Auto Roadside Assistance fax number received upon authorization of replacement for final payment.
      5. The dealer will be paid as soon as an appropriate signed repair order is received by Xtended Auto Roadside Assistance from the dealer. YOU are not responsible for any out of pocket expenses other than costs in excess of one thousand dollars ($1,000) per occurrence.
      6. All replacement KEYS and any programming are only available by the SELLING DEALER or an appropriate franchise dealer. Xtended Auto Roadside Assistance does not cut, order, or program any lost or damaged KEYS.
      7. WARNING: Any person who knowingly, and with intent to injure, defraud or deceive Xtended Auto Roadside Assistance , files a statement of a claim or application containing false, incomplete or misleading information will be prosecuted to the fullest extent of the law.

      ADDITIONAL KEY REPLACEMENT CLAIMS PROCEDURE (1-866-538-5257):

      8. Xtended Auto Roadside Assistance will reimburse YOU for replacement of YOUR ELIGIBLE KEY(S), up to one hundred dollars ($100) per occurrence, upon receipt of original (not a photocopy) paid receipts for the replacement(s). Call Xtended Auto Roadside Assistance Claims Department toll-free (1-866-538-5257) for assistance.

      E. ROADSIDE ASSISTANCE:

      Emergency Roadside Assistance is available twenty-four (24) hours a day, every day of the year throughout the Canada and Continental United States. Roadside Assistance coverage is intended for emergencies only. YOUR coverage begins on the CONTRACT PURCHASE DATE and terminates on either the expiration date shown or at the expiration of YOUR CONTRACT, unless cancelled. YOU will only have to pay for any non-covered roadside assistance expenses or covered costs in excess of YOUR one hundred dollars ($100) per occurrence maximum, as outlined below. YOU will not be required to pay any sum, in addition to the CONTRACT PURCHASE PRICE, for any covered services up to the benefit limits shown. YOU are responsible for any non-covered expenses. Service must be a covered benefit under the terms and conditions of this CONTRACT and is available only for the specific COVERED VEHICLE registered as part of this CONTRACT. Emergency Roadside Assistance Benefits are not available on COMMERCIAL USE VEHICLES.

      All roadside assistance benefits are administered by Xtended Auto Roadside Assistance, 1-866-538-5257.

      In the event that service is not obtainable through Xtended Auto Roadside Assistance, YOU will receive an authorization number to receive a refund of payments made according to YOUR program benefit and coverage limits for services received independently. YOU must first contact Xtended Auto Roadside Assistance for authorization to obtain independent services.

      All of the services provided are described herein and are applicable throughout the Canada and Continental United States.

      Call the TOLL-FREE Number 1-866-538-5257 and a service vehicle will be dispatched to YOUR assistance. Important: Please be with YOUR COVERED VEHICLE when the service provider arrives, as they cannot service an unattended vehicle. NOTE: ASSISTANCE OBTAINED THROUGH ANY SOURCE OTHER THAN XTENDED AUTO ROADSIDE ASSISTANCE IS NOT COVERED AND IS NOT REIMBURSABLE.

      24-Hour Toll-Free Emergency Roadside Assistance will be provided to the COVERED VEHICLE for the following COVERED EMERGENCIES up to the benefit limit of one hundred dollars ($100) per occurrence:

      Towing Assistance When towing is necessary, the COVERED VEHICLE will be towed to the nearest qualified service facility or to any location requested by the covered customer up to the one hundred dollars ($100) per occurrence limit.

      Flat Tire Assistance Service consists of the removal of the flat tire and its replacement with the spare tire located with the COVERED VEHICLE. Towing assistance will be provided if needed.

      Fuel, Oil, Fluid and Water Delivery Service An emergency supply of fuel, oil, fluid and water will be delivered if the COVERED VEHICLE is in immediate need. YOU must pay for the fuel or other fluid when it is delivered;

      Lock-out Assistance If YOUR keys are locked inside the COVERED VEHICLE, assistance will be provided to supply assistance in gaining entry into the COVERED VEHICLE. Battery Assistance – If battery failure occurs, a jump start will be provided to start YOUR COVERED VEHICLE.

      For any amount exceeding the program’s one hundred-dollar ($100) limit, it will be YOUR responsibility to pay the service provider directly for the additional charges. Coverage is extended to any driver of the COVERED VEHICLE.

      EXCLUSIONS:

      This CONTRACT does not provide ROADSIDE ASSISTANCE coverage for:

      1. ANY DAMAGE THAT EXISTED AT THE TIME OF THE RETAIL SALE OF THIS CONTRACT.
      2. Any service covered by WARRANTY, recall or acknowledgement of responsibility issued by the manufacturer.
      3. Any claims made on a contract for which payment for the contract has not been received, or for services not performed, not authorized, or not as described at the time of authorization.
      4. Any costs when any material information provided to Xtended Auto Roadside Assistance cannot be verified as accurate or is found to be deceptive.
      5. Emergencies resulting from the use of intoxicants or narcotics, or the use of the COVERED VEHICLE in the commission of a felony.
      6. Cost of parts, replacement keys, fluids, lubricants, or cost of fuel, material, additional labour relating to towing, or the cost of installation of products.
      7. Non-emergency towing or other non-emergency service.
      8. Non-emergency mounting or removing of snow tires or chains.
      9. Shoveling snow from around a vehicle.
      10. Tire Repair.
      11. Extrication or Winching.
      12. Motorcycles, trucks over one-and-a-half-ton capacity, antique vehicles (meaning vehicles over twenty (20) years old or out of manufacture for ten (10) years or more), taxicabs, limousines, or other commercial vehicles.
      13. Recreational Vehicles (RVs), camping trailers, travel trailers, or any vehicles in tow.
      14. Any and all tolls, taxes, or fines.
      15. Any fees such as shipping and surcharges, shop supplies, unless specifically authorized in this CONTRACT.
      16. Damage or disablement due to outside sources such as accident, theft, malicious mischief, vandalism, war, riots, acts of terrorism, civil commotion, explosion and/or acts of nature including but not limited to fire, water, tornadoes or earthquakes.
      17. Towing from or repair work performed at a service station, garage or repair shop.
      18. Towing by other than a licensed towing company, service station, or garage; vehicle storage charges; a second tow.
      19. Service on a vehicle that is not in a safe condition to be towed or services that may result in damage to the vehicle if towed or serviced.
      20. Towing or service on roads not regularly maintained, such as sand beaches, open fields, forests, and areas designated as not passable due to construction, etc.
      21. No towing or other services will be performed when the COVERED VEHICLE is in an unsafe condition or location.
      22. Towing at the direction of a law enforcement officer relating to traffic obstruction, impoundment, abandonment, illegal parking, or other violations of law.
      23. Repeated service calls for a COVERED VEHICLE in need of routine maintenance or repair.
      24. Services received independently from Xtended Auto Roadside Assistance without prior authorization from Xtended Auto Roadside Assistance.
      25. Only one disablement for the same service type during any seven-day period will be accepted.

      THIS IS NOT A ROADSIDE ASSISTANCE REIMBURSEMENT SERVICE: The Emergency Roadside Assistance benefit is not intended to provide reimbursement of service secured independently of this program. Fees for services incurred independently are NOT covered without prior authorization from Xtended Auto Roadside Assistance . In the event that Xtended Auto Roadside Assistance is unable to provide the roadside assistance service requested, YOU will be authorized by Xtended Auto Roadside Assistance to obtain service from another service provider. In this event, and upon YOUR written request, YOU will be reimbursed for any payments made for authorized covered services up to the specified benefit limits. Otherwise, service secured through any source other than Xtended Auto Roadside Assistance will not be reimbursed.

      F. COMPLETE ULTIMATE:

      If the Complete Ultimate coverage is selected and marked on the Registration page of this CONTRACT, coverage will include the following:

      TIRE & WHEEL – ULTIMATE PLAN: Includes all coverages and exclusions under II. COVERAGE OPTIONS, A. TIRE & WHEEL, ULTIMATE PLAN.

      WINDSHIELD REPAIR: Includes all coverages and exclusions under II. COVERAGE OPTIONS, B. WINDSHIELD REPAIR.

      PAINTLESS DENT REPAIR: Includes all coverages and exclusions under II. COVERAGE OPTIONS, C. PAINTLESS DENT REPAIR.

      KEY REPAIR/REPLACEMENT: Includes all coverages and exclusions under II. COVERAGE OPTIONS, D. KEY REPAIR / REPLACEMENT.

      ROADSIDE ASSISTANCE: Includes all coverages and exclusions under II. COVERAGE OPTIONS, E. ROADSIDE ASSISTANCE.

      TRIP INTERRUPTION EXPENSES: WE will reimburse YOU up to one hundred fifty dollars ($150.00) per day for a maximum of three (3) days for expenses for meals (restaurants only) and lodging (hotel/motel only) (except where prohibited by law) per occurrence incurred if:

      a. YOU cannot utilize COVERED VEHICLE due to a MECHANICAL BREAKDOWN or tire/wheel repair

      b. YOU are more than one hundred (100) kilometres from home; and

      c. If YOU incur Trip Interruption Expenses as a result of a MECHANICAL BREAKDOWN, YOU must submit proof of the MECHANICAL BREAKDOWN and location of the repair facility to the ADMINISTRATOR.

      See Section VI, What to Do in the Event of a Failure and How to Make a Claim for more information on how to submit a claim.

      INTERIOR REPAIR: In the event YOU incur minor interior rips, burns, tears (maximum of three (3) inches in length), cracks, scratches or punctures (less than one and one quarter (1 ¼) inches in diameter), to interior surfaces of fabric or leather seats, dashboard materials, armrests, door panels, headliners and carpeting (floor mats are excluded) of YOUR COVERED VEHICLE, WE will repair or reimburse YOU for the costs of these repairs up to a maximum of two hundred and fifty dollars ($250) per repair visit (except where prohibited by law). See Section VI, What to Do in the Event of a Failure and How to Make a Claim for more information on how to submit a claim.

      EXCLUSIONS:

      This CONTRACT does not provide INTERIOR REPAIR coverage for:

      1. ANY FAILURE THAT EXISTS AT THE TIME OF THE RETAIL SALE OF THIS CONTRACT.
      2. Any repair or replacement covered by WARRANTY, recall or acknowledgement of responsibility issued by the manufacturer.
      3. Repairs not authorized by the ADMINISTRATOR prior to its repair.
      4. Any additional costs for services not specifically covered by the CONTRACT.
      5. Any finish, fabric, leather or vinyl that is not damaged.
      6. Tears of fabric or leather seats exceeding three (3) inches in length.
      7. Punctures of fabric or leather seats exceeding one and one quarter (1 ¼) inches in diameter.
      8. Damage caused by misuse or abuse of YOUR COVERED VEHICLE.
      9. Damage caused by solvents or chemicals coming in contact with YOUR COVERED VEHICLE’S interior surfaces.
      10. Damage caused by deterioration or fading of the fabric or leather seats or carpet of YOUR COVERED VEHICLE.
      11. Any amounts necessary to complete interior repairs in excess of two hundred and fifty dollars ($250) per repair visit.
      12. Any repair identified from a previous repair visit that was left unrepaired.
      13. Replacement of seats or carpets in the event they cannot be cleaned and/or repaired.
      14. COMMERCIAL USE VEHICLES are not eligible for coverage.
      15. Replacement of any parts.
      16. Damage due to abnormal wear, acts of God, collision and/or accident, fire, flood, modification of the COVERED VEHICLE, mischief, misuse, natural disaster or acts of nature, neglect, riot/civil commotions, vandalism, or water intrusion.
      17. Damage to YOUR COVERED VEHICLE or other property resulting from the use of intoxicants or narcotics, or the use of YOUR COVERED VEHICLE in the commission of an illegal act.
      18. Any incidental or consequential damages of any kind, including but not limited to damages for loss of use of the COVERED VEHICLE, damages to property, loss of time, loss of profits, loss of income, or inconvenience.

      G. COMPLETE ULTIMATE LEASE:

      If the Complete Ultimate Lease coverage is selected and marked on the Registration page of this CONTRACT, coverage will include the following:

      COMPLETE ULTIMATE: Includes all coverages and exclusions under II. COVERAGE OPTIONS, F. COMPLETE ULTIMATE.

      LEASE-END BENEFITS: In the event YOUR COVERED VEHICLE is financed through a lease agreement and YOU incur certain final lease-end expenses, WE will reimburse YOU up to one thousand five hundred dollars ($1,500) toward these expenses (except where prohibited by law). Expenses covered under this benefit are limited to exterior dings, dents, repairable scratches, chipped/cracked glass, damage to interior fabrics, carpets (floor mats are excluded), seats, dashboard and console plastics, leather, cloth, vinyl including but not limited to rips, burns, tears, cracks, scratches or punctures, stains, cosmetic wheel benefits to remove scuffs, scratches, curb rash, nicks, alloy wheel painting or respraying, or bent wheels. Lease-end Benefits are available from ninety (90) days prior to until ninety (90) days after YOUR lease termination date. All claims under this benefit must be submitted within this time period. Copies of YOUR final lease turn-in settlement with all applicable charges from YOUR lessor, copies of receipts showing payment of these charges by YOU to lessor, and a copy of the final lease termination documents showing the date the COVERED VEHICLE was returned to lessor are required for reimbursement. WE reserve the right to request further documentation as needed to verify all expenses incurred. RECOMMENDATION WE recommend that YOU have a lease turn-in inspection performed at YOUR SELLING DEALER prior to YOUR lease termination. Repairs in advance of termination may greatly reduce YOUR lease-end expenses. See Section VI, What to Do in the Event of a Failure and How to Make a Claim for more information on how to submit a claim.

      EXCLUSIONS:

      This CONTRACT does not LEASE-END BENEFITS coverage for:

      1. ANY FAILURE THAT EXISTS AT THE TIME OF THE RETAIL SALE OF THIS CONTRACT.
      2. Any repair or replacement covered by WARRANTY, recall or acknowledgement of responsibility issued by the manufacturer.
      3. Any finish, fabric, leather or vinyl that is not damaged.
      4. Damage caused by misuse or abuse of YOUR COVERED VEHICLE.
      5. Excess mileage fees, tire replacement fees, lease disposal/disposition fees, missing equipment on YOUR COVERED VEHICLE, missed payments or unpaid taxes.
      6. Any inspection fees or transportation fees charged under YOUR lease agreement.
      7. Any repairs that would be covered under YOUR COVERED VEHICLE’S primary insurance policy.
      8. Any lease-end expenses incurred in excess of one thousand five hundred dollars ($1,500).
      9. Any lease-end expenses incurred more than ninety (90) days prior to or more than ninety (90) days after YOUR lease termination date.
      10. Any additional costs for services not specifically covered by the CONTRACT.
      11. Chrome wheels and alloy wheels with chrome simulation are excluded from coverage under this CONTRACT.
      12. COMMERCIAL USE VEHICLES are not eligible for coverage.
      13. Damage due to abnormal wear, acts of God, collision and/or accident, fire, flood, modification of the COVERED VEHICLE, mischief, misuse, natural disaster or acts of nature, neglect, riot/civil commotions, vandalism, or water intrusion.
      14. Any incidental or consequential damages of any kind, including but not limited to damages for loss of use of the COVERED VEHICLE, damages to property, loss of time, loss of profits, loss of income, or inconvenience.
      15. Damage to YOUR COVERED VEHICLE or other property resulting from the use of intoxicants or narcotics, or the use of YOUR COVERED VEHICLE in the commission of an illegal act.

      H. MANDATORY SURCHARGES:

      1.  POST-SALE CONTRACT: Coverage for used VEHICLES is only available at the time of delivery, unless the Post-Sale Contract surcharge is selected under the “Mandatory Surcharges” section of the Registration page of this CONTRACT. For POST-SALE CONTRACTS, claims will not be considered during the first thirty (30) days from the CONTRACT PURCHASE DATE.

        IV. GENERAL PROVISIONS

      TERRITORIAL LIMITS: This CONTRACT will cover the VEHICLE only when it is in in Canada or the United States.

      CONSEQUENTIAL DAMAGES: ADMINISTRATOR is not responsible for any oral misrepresentation, or incidental or consequential damages other than the coverage and exclusions contained herein. This CONTRACT applies to the parts and labour for the identified items only, and does not provide for bodily injury, property damages, liability, or any other type of liability coverage.

      CHANGES: No changes may be made to this CONTRACT unless approved by US in writing. None of OUR representatives have the authority to change or waive any provisions to this CONTRACT.

      REPRESENTATIONS: By acceptance of this CONTRACT, YOU agree that statements in this CONTRACT made by YOU are YOUR representations and agreements and that this CONTRACT is issued in reliance upon the truths of those statements.

      CONFORMITY TO STATUTE: This CONTRACT will be governed and construed in accordance with the laws of the Province where this CONTRACT is written and any dispute or litigation by either party arising out of the terms of the CONTRACT will be commenced in a court of competent jurisdiction in said province.

      ENTIRE AGREEMENT: This CONTRACT is the entire understanding between YOU and US and there are no warranties, representations or agreements that are not expressly set forth herein.

      DELAYS: This CONTRACT does not guarantee days or time of service. WE are not liable for any damages whatsoever arising out of delays, either before or after a day or time of service is agreed upon.

      TRANSFER: To transfer the CONTRACT, the CONTRACT HOLDER will forward their copy of the CONTRACT and a copy of the bill of sale or receipt, the new owner’s information and the transfer fee of fifty dollars ($50.00) to the ADMINISTRATOR within thirty (30) days of transfer date. Proof of maintenance may be required. Transfer of the CONTRACT from the CONTRACT HOLDER to any of the following (or like kind of the following) is not permitted:

      1. Consignment sales;
      2. Dealers; or
      3. Rental agencies.

      OTHER COVERAGE: This CONTRACT provides coverage only in excess of other applicable and valid service contracts (including warranties and policies of insurance) which the CONTRACT HOLDER has, or upon which the CONTRACT HOLDER can recover from third parties.

      V. CANCELLATION

      All cancellation refund cheques will be sent to the SELLING DEALER. The Lienholder, if any, may be named on the cancellation refund cheque as their interest may appear. YOU can collect YOUR cancellation refund directly from the SELLING DEALER.

      CANCELLATION BY THE CONTRACT HOLDER: This CONTRACT may be cancelled by the CONTRACT HOLDER within thirty (30) days of the CONTRACT PURCHASE DATE. YOU may cancel this CONTRACT by returning to the SELLING DEALER and completing a Cancellation Request Form. If this CONTRACT is cancelled within thirty (30) days of the CONTRACT PURCHASE DATE, the ADMINISTRATOR will refund and send to the SELLING DEALER the cost paid for this CONTRACT, less a cancellation fee of fifty dollars ($50), plus applicable taxes. If at any point in the term of the CONTRACT the UNIT is declared a total loss, this CONTRACT may be cancelled by the CONTRACT HOLDER (valid documentation required). In the event of a total loss, the ADMINISTRATOR will issue a prorated refund of the cost paid for this CONTRACT based on elapsed days of coverage from the CONTRACT PURCHASE DATE, less a cancellation fee of fifty dollars ($50), plus applicable taxes.

      CANCELLATION BY THE ADMINISTRATOR: The ADMINISTRATOR may cancel this CONTRACT at any time for non-payment, for material misrepresentation or fraud in obtaining this CONTRACT, if YOU have violated any of the terms or conditions set forth in this CONTRACT, or for misrepresentation in the submission of a claim. Beginning thirty (30) days following the purchase date of the UNIT, if for any reason, the original manufacturer’s warranty is modified, voided or does not transfer to a new owner, this CONTRACT becomes void. If YOUR CONTRACT is cancelled by US for any of the listed reasons, WE will issue a prorated refund of the cost paid for this CONTRACT based on elapsed days of coverage from the CONTRACT PURCHASE DATE, less a cancellation fee of fifty dollars ($50), plus applicable taxes.

      CANCELLATION BY THE LIENHOLDER: If this CONTRACT has been financed, the Lienholder may cancel this CONTRACT at any time during the term of this CONTRACT for non-payment or if the UNIT is declared a total loss or is repossessed (valid documentation required). If this CONTRACT is cancelled by the Lienholder, the ADMINISTRATOR will issue a prorated refund of the cost paid for this CONTRACT based on elapsed days of coverage from the CONTRACT PURCHASE DATE, less a cancellation fee of fifty dollars ($50), plus applicable taxes.

      VI.   HOW TO MAKE A CLAIM

      YOU should use all reasonable means and precautions to protect YOUR VEHICLE from further damage. This CONTRACT will not cover damage caused by not securing a timely repair of the failed component;

      For information regarding Tire & Wheel, Windshield Repair, Paintless Dent Repair (PDR), Interior Repair or Trip Interruption contact YOUR SELLING DEALER or, if not available, the ADMINISTRATOR at 1-866-481-1327 Monday through Friday, 8:00 AM – 8:00 PM, Eastern Standard Time. For information regarding Key Repair/Replacement see Section D. KEY REPAIR/REPLACEMENT CLAIMS PROCEDURE, for Roadside Assistance see section E. ROADSIDE ASSISTANCE. If the repair is not covered by this CONTRACT, the costs incurred for disassembly and/or diagnostic work are YOUR responsibility and expense;

      Provide the SELLING DEALER or repair facility with a copy of YOUR CONTRACT;

      Prior to starting repairs for Tire & Wheel, Windshield Repair, Paintless Dent Repair, or Interior Repair YOU or the repair facility must call the ADMINISTRATOR at 1-866-481- 1327 to verify coverage and obtain a Claim Authorization Number for claims. The amount authorized is the maximum that will be paid. Any additional amounts need prior approval;

      The repair facility and YOU must provide complete cooperation in the investigation of any claim filed under this CONTRACT;

      In some cases, YOU may be required to authorize the repair facility to inspect or disassemble YOUR VEHICLE or KEY(S) to determine the cause and cost of the repair. YOU will be responsible for these charges if the repair is not covered by this CONTRACT. The ADMINISTRATOR reserves the right to require an inspection of YOUR VEHICLE prior to any repair being performed. The ADMINISTRATOR reserves the right to move YOUR covered VEHICLE to another repair facility;

      After the ADMINISTRATOR has been contacted, review with the repair facility what will be covered by this CONTRACT;

      When YOU pick up YOUR VEHICLE or KEY(S), review the repair order with the service manager;

      Pay the DEDUCTIBLE and any other non-covered expenses, if applicable;

      YOU or the repair facility must provide the ADMINISTRATOR with the repair order within ninety (90) days of the completion of the authorized repairs. Failure to submit the repair order within ninety (90) days may result in complete denial and non-payment of the claim;

      The ADMINISTRATOR will reimburse the repair facility or YOU after receipt of the repair order, in accordance with the provisions of the CONTRACT, for authorized REPAIR COSTS performed on YOUR VEHICLE, less any applicable DEDUCTIBLE;

      If YOU need to make a claim when the ADMINISTRATOR’S office is closed, YOU may follow these claims procedures without prior authorization. However, YOU or the licensed repair facility MUST call the ADMINISTRATOR during the next business day. Failure to call in and report the claim on the next business day may result in non-payment. Unapproved mail-in claims may be denied. Reimbursement for emergency repairs performed outside of normal business hours can be obtained by YOU only if YOU follow the above procedures on the first business day after such emergency repairs are performed, unless YOU show that it was not reasonably possible to give notice or file the proof of loss within the prescribed time and that the notice was filed as soon as reasonably possible.

      If YOU are submitting a claim for Lease-End Benefits reimbursement, mail: (1) a copy of this CONTRACT; (2) copies of YOUR final lease turn-in settlement with all applicable charges from YOUR lessor; (3) copies of receipts showing payment of these charges by YOU to lessor, and: (4) a copy of the final lease termination documents showing the date the COVERED VEHICLE was returned to lessor to:

       VII. OUR RIGHT TO RECOVER PAYMENT

      If WE make any payments under this CONTRACT, YOU agree that WE hold all rights of recovery for those payments against anyone, due to, but not limited to a safety recall campaign, any repair required by any court, regulatory agency, decree or settlement. YOU will do nothing to harm those rights. If YOU have a right to recover against another party, YOUR rights become OUR rights. YOU will do whatever is necessary to enable US to enforce these rights. If WE pay for repairs under this CONTRACT and YOU are also repaid for the same repairs by someone else, YOUR payment will become OUR property up to the amount that WE paid for the repairs.
